One Small Step...
We have decided on the name for our company 🥳 It's not at all exciting but does what it says on the tin 😆
I've done some research and read the Government's standard Memorandum and Articles of Association. You have to have these for a limited company and the standard ones seem fine as there's nothing very complicated about how we want to run the business. We know how we want to divide the shares between us, where the registered office will be and the most appropriate SIC (Standard Industry Classification) code for our business. So we have all we need to register the company with Companies House. We should be able to do this on-line as we're going to use the standard Articles of Association. If you use amended ones you have to register by post and that costs more and takes longer. I'm planning to register tomorrow morning as my brain works better earlier in the day so that's the best time for me to do anything important or complicated.
In the meantime, Mr F has a client 🥳 He has a firm offer of contracts from a training company. Apparently he qualifies for a particular category of work for which it's very hard to find people at the moment so that gives us a bit more confidence that work will be available. He's also in discussion with a second potential client.
I spent much of yesterday researching IR35 legislation which is very off-putting. It's intention is perfectly reasonable (to make sure that everyone's tax bill is fair and equitable) but its implementation is complicated and heavy-handed. And the penalities for non-compliance extensive. The DWP was fined £87.9 million for wrongly assessing its contractors for IR35 in 20/21 😲
In other news...- we picked damsons, plums, blackberries, green beans, courgettes and potatoes this morning
- I used the plums to make Clafoutis which we had with yoghurt for breakfast. It's supposed to be a desert but I can't see much difference between it and the american pancakes I sometimes make for our breakfast... and it was delicious 😋 I feel much the same about crumbles - what's the difference between a crumble and granola and fruit? Crumble makes a fine breakfast in my book 😉 (The Clafoutis took much longer to cook than the recipe indicated - about another 15 minutes.)
- lunch was Courgette & Prawn Curry
- supper will be Green Bean, Potato & Halloumi Tray Bake.

To be honest I doubt Mr F will be much worried by IR35. Many caught like that were regular hours fixed by the employer forced to be self employed or only ever working for one. Mostly caused by employers wanting to avoid paying employers NI. You will be able to spot them coming.

I'm afraid we're already being indirectly affected by it BM. It's not that Mr F would ever be a 'disguised employee', it's how the legislation has changed the way clients and contractors have to operate. All parties have to cover their backs at every step.

Crumble for breakfast is an excellent option. I also enjoy leftover cold curry for breakfast, and of course, leftover trifle! - well you cannot leave it or the cream dries out and cracks!Save £12k in 2025 #2 I am at £4863.32 out of £6000 after May (81.05%)
