Hi,

I've just started an ltd company by using the company agent Smart B2B limited and paid for a package including their "Platinium plus package". I've had and sitll having some issue with them:

- I have not received the promise same day corporation : delay of more than a month.

- I thought, that the registered office would be in London (SE postcode) instead of in Wales. Definitively for marketing reason (my business is an internet business with half of my potential clients lives overseas), I would like to change the registration address into a prestiguous adress but it seem to not be possible with the agent. However thanks to give me your point of vue regarding the relevancy of my "marketing strategy".

Thanks in advance for your help,

Icetechnik

  • Have you recieved your companies house registration certificate yet? If not i would be on the phone/email trying to find out what was going on. I used 24/7 company formations and i had my companies house certificate/memorandum of articles/share certificate emailed to me within a day and hard copies by post within 5.

    Hi,

    Thanks for the reply.

Yes, I've received it after several weeks of waiting and calling to the companies house. After one month of delay they have noticed that the have noticed that the company formation agent had made a mistake while filling the form (did on my behalf).

During all this waiting time, B2B Services Limited were giving the reason that must be due to fact companies house has some issue with their software due enforcement of the corporation act 2006. And when I was calling the companies house as the owner of the company to what was wrong, during 3 weeks, they was just saying to me that the cannot disclose any further information directly to me bacause I have a company formation that works directly with them on my behalf.

Please, note that I've paid for the total amount of £322.00 for theirs services (including mail forwarding) but guess, the first mail they have forwarded to me (containing the companies house registration certificate) was at my old address. I've several asked for a partial or full refund in vain.

Now, I have sent the VAT registration form to them (included in my package) since 25th October 2009, and they just do nothing in part after a further waiting of three weeks to give me (when I've called them) the 08 number of the HMRC with my HMRC reference number : when I've called, i've been informed that they needed a form fromme giving authorisation to the agent to work on my behalf....I've also sent the signed form one week ago with a tracker and a copy by email to each part (hmrc and smart b2b)...and yesterday when I call the hmrc officer, they just said that they have not received anything (but I have an online confirmation)...and he has started arguing that at the moment they could not registered me because I am oversea (France) and I have to come back in the UK before his office can deal with my case. The address of my share certificate is my previous UK address as it is this last still on my present passport.

Sounds pretty steep. I paid £35 for registration within 24 hours. To get a London registered address as well is still under £100 with most agents. The rest of the additional services you can usually do yourself with minimal fuss.

Definitively, it is steep. Note that the mistake I've done was to provide my credit card number to a Smart B2B agent by phone as any of their package online didn't include a mail forwarding. I was waiting at the first step an email confirmation from B2B regarding the quote (far less than £322.00) but instead of that I've just noticed few minutes later the amount of £322.00 cleared on my UK account.Since this time until today, the only thing they have done is my ltd corporation with a delay of 3 weeks and to force me to have a Wales address when my business required a prestiguous London one....
  • If you google Smart B2B ltd you'll find a lot of other disgruntled customers so I would recommend talking to your credit card provider to see if they can get some sort of refund for you as they have charged you for services which they haven't supplied. Then i would find a good local accountant and get him to complete the VAT registration process for you and fill out the appropriate paperwork to change the business registered address. Most accountants will allow you to use their address for the registered address for a small fee so might be worth speaking to an accountant based in London.

    Hi Luckyluke,

Thanks a lot for your help. I've just called my UK bank and they have asked to call back on monday to speak to the staff that may help regarding the refund of the services they have not supplied.

Regarding the search of a good accountant based in London, I should be grateful if you could give me a small list as i am in France at the moment (but would plan to come back in London asap).

However, i have not start trading and I need to launch my website from monday (also I think I could wait few weeks for the acccountant and change the address by another company registration agent (again... :()).

    Regards,

  • To be honest it would probably be best to hold fire on launching your website if it is so important that your registered office is based in London. As, i think, by law you now have to display your registered address on any company website. As far as a decent accountant goes, i can't recommend any in the London area as i've never had the services of one from London. I would recommend a trying to search for an accountancy who specialises in your type of business and who are chartered as this should guarantee a better standard of service (although may be more expensive).
  • Thanks a lot Luckyluke. However, I may use the option below for a short term period (I can deal with accounting (at least for the beginning)).

I used Simple Formations to register a company as they did an offer for MSE forum users. I haven't used their registered address service but details are at:

    http://www.simpleformations.com/company-service-prices.htm#address

As it says on that page contact them if you need a full mail forwarding service.
  • Thanks,

However, it should be good if one can see the address before to order.

I've found on an other website two cheaper addresses :
    • 145-157 St John Street, London, EC1V 4PY
    • 26 York Street, London, W1U 6PZ
However I will call simpledormations tomorrow.

    Regards,
