So a simple question - is this software illegal, has not really been answered

I am confused as to how a large retailer (Groupon) can get away with breaking the law ?

It's not a simple answer. Generally I think it's legal for product keys to be sold. The risk is on the purchaser though.

What you might note, is a complete absence of even a single complaint of someone's Pro Plus licence being revoked.
You would think that those making the claims would be able to point out some examples. But strangely, nothing, other than their claims of being experts. 
What I will tell you, is that there is nothing about which you need to concern yourself.
