    Yes, the money would be sent to the estate agent to hold until completion.
    I do not think that the market is particularly heated atm, but I believe the property is well priced for the area, that’s why I was initially keen to agree on the terms to provide some certainty.

    To make the agreement fair, there would need to be a list of circumstances which would result in the seller losing their deposit...
    • The seller has decided not to sell to the OP
    • The seller has made a misleading statement about the property - and as a result the the OP is withdrawing
    • The seller has omitted to disclose material information - and as a result the the OP is withdrawing
    • The seller is introducing new conditions to the sale, which were not previously disclosed
    • The seller is not ready to exchange contracts by xx/xx/2022

    I see no penalty in that agreement for the vendor if they do accept a gazumper after all, either declaring you are taking too long or just lured by £££.  If you are expected to take their word, they should take yours...
