It is very difficult for any of us to draw anything conclusive with second or third hand snippets of information being drawn from Companies House filings by somebody who doesn't really understand what they're reading (no offence intended).

How did you (they) even find out they'd been made 20% shareholders?

So other than the alert, nobody has actually told your sons (D&E) that they have been made shareholders?

Perhaps worth mentioning on a point of detail that shareholders are not the owners of a company as shareholders sometimes mistakenly think: a ruling confirmed by the House of Lords in 2003.

The position is well explained here by Prof John Kay:

I am talking about a PRIVATE Ltd Coy

"Public companies should instead be seen as institutions designed to facilitate a dense web of contractual relationships between management, shareholders, employees, and creditors, among others, each providing a mix of tangible and intangible assets." from the link

Sorry, I haven't read the thread. (I injured my eyes at the weekend and the world is just a fog. Hoping it will be only temporary but in meantime it's taking me 20mins just make a post let alone read pages.) So was simply answering the question in the title of the thread.

I'm not aware of any difference that applies. I understand the Court of Appeal stated “shareholders are not, in the eyes of the law, part owners of the company”. but if you've found that the ruling doesn't apply to private companies a link would be much appreciated for clarification.
