Iphone issue

Evening all
Have an iphone 4s on a 2 year deal with 3.
Have an issue with it as it seems to be bust in that the battery wasn't charging or retaining charge. Have bought a new battery today and this one kept restarting and now wont turn on at all.
Is the phone dead?
My secondary question is that im literally 7 days outside of the date I could get an update. I haven't a spare handset and as such cant really cope without a phone as live a long way from friends etc. Is there likely to be a large cost upgrading early?
