The 40" Samsung isn't a Smart TV so doesn't have iPlayer and other online services included. I've had a look at some user reviews and they all say how good the picture is but it is lacking in connectivity. Also it is quite a big set in terms of depth plus the power lead sticks straight out of the back so make sure you have plenty of space available behind where you plan to install it. They also say the sound is good (which could be due to the depth of the set). If you don't want all the Smart type gizmo's then it looks to be a good option.
The 37" set is a Smart TV so you can access all the catchup tv through the internet with this set. A friend of mine bought one recently and is very pleased with it. You may want to look at the reviews I found on Amazon

Just be aware that these reviews cover all screen sizes so pick out the 37" comments. You could also do a search on the other set to see what people say about that.
Overall, you are looking at 2 very good sets and the choice will be down to the extra facilities you want such as iPlayer, Lovefilm, Netflix which are available through the 37" Smart set but not the non-Smart 40" set.

GT60 - my post kind of tells you the things you want to look for in an up to date TV:
Full HD 1080P - at 40" plus, MOST TVs should have this
FreeviewHD - NOT just Freeview. You want HD channels!
HDMI inputs - you haven't told us what you want to plug into your TV - Sky box? PS3? How many inputs do you need?
Smart TV - in my experience, this is rubbish. Online stuff moves so fast that devices can be left behind quickly. You don't want that to be your TV. Use a set top box for the smart features and the TV as, well, just a screen.
Depending on how you receive TV:
Sky - A Sky box
Satellite - Humax Freetime box
Aerial - Humax YouView box0 -
Not sure on hdmi 2 should be enough i think or at leasrt a min of 2
Dont have sky or any thing just normal aerial
May get talktalk tv in the future.

A talktalk Youview box (or any Youview box) will connect over HDMI. Both of those TVs will do the job nicely for you. The Samsung is bigger and £50 cheaper. Google both of those model numbers to see if you can find reviews in case there's anything horribly wrong with either, but apart from that I'd take the Samsung.0

The picture jumps out at you it is very crisp and clear.
Note you are viewing this in a TV shop probably from a HD/DVD input
