    This is a fascinating thread, which boils down to Carnaby make films, the directors take in a lot of money, but the shareholders never see any return - not even their original stake.

    Carnaby Motion Pictures plc is about to be struck off (though there's no reason for that to make money, as the film was nothing like the prospectus, and whatever the sales people kept saying never going to hit the big time) - have shareholders any recourse to have it wound up properly to show where the money actually went? Or a legal option to recoup their money as it was tantamount to a mis-selling scam?

    Obviously, by using A & B shares, the directors have the upper hand, but there must be some action available to the common shareholders?

    Any experts out there?

    I imagine Carnaby do indeed buy the rights for a pittance from the liquidators, but what if you made a bid?

    I suspect that by striking off the (sub)company, no official administrators are appointed, and hence no liquidation - just left to the directors to wrap things up as they see fit. Neat idea if it is true?

    There really must be some residual value to the company being wound up, but, it seems that standard shareholders cannot access it.

    Have a reply to the various recent comments but MSE's software is currently blocking. Supposedly my message contains 33,000 characters but it, in reality, has just over 2,000. MSE has not been helpful. Anyone else have this problem?

    I'm annoyed that vacuous emails such as HJ's troll essays are permitted when this is clearly cut-and-paste. No grief against HJ but my message is a tenth the size of 'his,' is investment-related, factually backed and yet? MSE says "too big" while allowing the troll stuff. They don't even say 'babe.'

    Have you tried pasting it into Notepad which should remove any tags and formatting so just the text remains. That should get the numbers correct.
    Remember the saying: if it looks too good to be true it almost certainly is.

The date on the striking off is the 8th so you have to do today. You object as a member/shareholder. "companieshouse.gov.uk".

    two of these have already been dissolved are you going to wait untill all the rest are shot for having a broken leg. My first investment was a punt but now it was obviously a non starter.
    Know one does know what can be done a good COMPANY ACCOUNTANT. to start.
    I have also just had a mail shot to my address in another name
    which must have been from a mail order firm. ie someone sent post to my address so they have many contacts for their marketing.

    I think some of what people pushing carnaby are trying to say that it was unsolictied; you invited them in so to speak and therefore u have no recompence . but i'm not sure that that is right you still have .Company compliance, rights of shareholders, did they send you notice of annual general meetings, and are there any share certificates?

    I was too late to comment at the time, however, I had spoken to Companies House, amongst others, and they were clear that as no company law had been broken, they could not act to stop the striking off. The clever thing (from Carnaby's point of view) is in setting up the original company such that it will never make a return (unless it is astronomically successful), and holding total control through A & B shares, and complying with company law.

    Maybe a more reasonable way of funding these ventures would be simply to ask for donations to make a movie (in a way where the taxman pays 20-50% of it, as he gladly does currently under EIS). After all, they do seem to pay everyone, and make movies. Call it charitable giving instead.
