    No. Copying of the media is totally legal. It's only when you use a key you didn't pay for that it becomes illegal.

    I'd be happy to take one of those old versions from you.
    Are you sure about that? You'd have to acquire a copy of SP3 beforehand, disconnect your PC from the internet and install them one after the other. Or slipstream them yourself. Either way, you'll have several hours work ahead of you.

    Have you considered installing the Windows 7 RC or something like Ubuntu instead?

    I've always considered that wording allowed for the creation of "Legal copies" otherwise it would read "Do not make copies of this Disc";)

    As stated, Microsoft don't give a damn about media, only about product keys. The OP does need to be careful about whether they get an XP Home OEM or an XP Home Retail CD. There is a difference in that one will not accept keys intended for the other. It's really annoying as the end result is identical.

    If you do get stuck with the wrong type of CD, there is a way to convert it into the other type (ie. Retail -> OEM) but it involves a bit of complicated work.

    Home OEM SP3 original .iso file is up on my ftp server for a limited time only, OP has the address and access password.
    Internet explorer will do a good enough job at that.
