The breach of contract would have to be against the company which appears to have no monetary assets and an uncontactable new Director.
So, even if you have a 100% watertight case against this company, your legal action would get you nowhere, because the company has no monetary assets - is that what you're saying? It's what I'm reading...
Hi, That is correct and the ex Director states he has no comeback as he resigned and if he is pursued, he will apply for an IVA. He is working and the original website he used for the franchise is now used with a slight alteration to the name and is being used as a company which is under the umbrella of a larger group.

But you could only take action against the company you engaged with, ie if you signed up with Fred's Franchise, then you can't get recourse from Fred's Fabulous Franchise even if the directors, trading address and all other aspects were identical.
I believe you've paid for legal advice which indicates you haven't a case. Believe it.
