Unexpected debt

Hi, first time posting in Small Biz, thanks for reading.
I started work for a company that had a mail order department as well as a bricks and mortar shop, the mail order department would take payments for health tests from customers then have the tests conducted through a third party lab.
In 2022 the owner split the company and sold the mail order section to a larger company. In 2024 I took over as owner of the bricks and mortar shop. I've just received an email from the third party lab saying that they are owed money from 2020.
Who is responsible for the debt? I'm in Scotland if that makes any difference

read your contract when you "took over" - should have clear T&C regarding existing liabilities.
If it does not then no one on here can magic up an answer as you are looking at a legal case to establish which side of the now split business "inherited" its predecessor's liabilities, (if either did!)2 -
