Retrospective consent or indemnity policy?

Hi all,

We're in the process of purchasing a leasehold house and one of the issues that came up is an extension that was not approved by the freeholder. My solicitor has been pushing for retrospective consent to be sought, while the seller's solicitor is only willing to provide an indemnity policy because they are saying it could take months to get the consent - so, we're in a bit of an impasse. I've made a discreet contact with the management company without disclosing any information about us or the property and it seems that they have something called 'Without Prejudice' fee (£850) which basically grants the consent once paid.

The EA has contacted us today asking about it but we're not sure what to do now. I think the sellers are worried about asking for the retrospective consent since it would invalidate any indemnity policy which is understandable. But at the same time I worry about unauthorised work that was done without the landlord's permission. 

I've told the EA to ask the vendor to contact the management company so they can get an understanding of the retrospective consent process. No reply so far but I assume they'll push it back again.

Any advice?
