Gifted BTL in personal or ltd company

Hiya, i have seeked professional advice but I'm a worrier and still after opinions please.
Facts-
Earnings £45k
Gifted 2 flats each:
Worth 150k
Mortgage 85k
Equity 65k
Rental income 650pm
Mortgage 325pm

I just can't work out what way to go. The advice and my findings seems to be if LT investment put into ltd company, if i want to sell in next 5 years dont.
My long term plan is to keep these rented and eventually pass to daughters when they are 21, however, life doesn't always go to plan.

So if I keep it in my name i will pay, first 5k income 20% tax remainder 45% tax (with 1k allowance and 20% flat line allowance allowed for mortgage interest. 
However the mortgage is around £75 less a month and if I come to sell I will pay 28% CGT (after annual allowances). I also anticipate my income to potentially go down to £30k pa in around 3 years time 

In ltd company-
Mortgage interest would be fully deductible expense (not sure what else could include (apart from normal accountancy fees and insurance) , would get a 2k dividend allowance and then corporation tax of 19% and remainder would be 7.5% up to 50k income and then 32.5%. Although the equity would be a DLA repayment for the first few years (I know I can charge interest to take advantage of 1k interest income relief) my plan would be to take the top mortgage ltv available (75%) so i have cash for rental repairs/non payment of rent. 

However, if I eventually need to sell id be subject to 19% corporation tax and 32.5% income tax 😷

So what would you do and have i missed anything?

  • Because I'm so unsure I'm even thinking of putting 1 in ltd company and 1 in my own name. 
    I can do my own accounts and tax returns (unfortunately not tax specialist clearly 😂)

    Fair enough. I'm surprised a mortgage lender allows transferring of a mortgage over, particularly leaving the option of transferring to an individual or a company open.

    Its not a transfer of mortgage. Its essentially treated as a purchase. And the equity is the gift
  • It's not a simple decision. I would speak to an account to get some tax advice. If like you've said your plan is gifting the properties to your daughters then you should take that into consideration. Presumably, there are going to be some implications of gifting properties owned by a limited company to children. I suspect keeping the properties in your name is a lot simpler/cheaper and if your income is going down in 3 years then it's not worth incorporating anyway.
