Loyalty based bonus and redundancy

Options
I am currently being made redundant and will receive an annual bonus prior to leaving. However part of this is paid in shares which I only receive if I remain loyal and stay with the company for 3 years (no other conditions). I have been told therefore I will only receive a pro rata amount for the month I am in the company before I am made redundant. It does not seem fair that something I have earned from previous performance I’m not entitled to because of a company  decision to end my employment and not mine.

Whether it is fair or not is immaterial, what matters is lawfulness. If those are the conditions of the bonus, then it would seem that not giving you the shares is not unlawful.
