Evestor change to discretionary?

What's with an investment company who invites you to join with a list/mix of investments and offers a bonus at year end.
Then 9 months months in, asks you to agree for them to operate your investment on a discretionary basis.
Then asks several other times... and then says that if you don't agree by April end then they'll 'be forced' to close your investment with them ... just 2 months before the bonus qualification date?
How come they offer accounts on one basis and then after a period try to change the terms significantly ?
This feels more and more like a scam in my opinion.
Any thoughts?
