  • Cheers for the advice, any extra info on the harassment line?

    It's all a bit crazy, the other leasee is complaining about being talked at. Clearly she just thinks what she wants should happen.

    Spoke with her the other day (Thursday) to try and offer a compromise (got no where!), however she said she didn't recognise where the clause on the dog came from, and when asked about the articles of association, said she did not have a copy (even as company secretary!), either that or she was aware of the clauses in it! But she had 'spoken to a paralegal' about it (who would not have seen either the lease or the articles of association!).

    Since i gained a copy of the articles, should I share them with her now, or wait to near the meeting.

    Not sure if it should be an EGM or AGM (one not been held for over 18months), also not seen the accounts, but they have been sent to companies house and noted as 'approved by the directors', which is Fraud in my book!
    Basically a bit useless as secretary.
  • Perhaps the articles of association or just company law in general allow you to remove her as secretary because she's been making statements on behalf of the company without authorisation?

    I am thinking you don't really want this to get nasty. You require the co-operation of other directors in order to complete your sale, and then you will be outta there. Tread a little carefully as you don't want to cut your nose off to spite your face
  • On advice, have sent an e-mail threatening legal action should the deal fall through due to her constant interference and making up the law (vote wont count as I'm moving out etc).

    The fact that she is already telling my buyers solicitor that it has already been decided that she wont be able to have her dog, whilst as the same time discussing the timing for a meeting with us, really means that we simply can't trust her.

    Having said that, don't want to go down the whole route of trying to get the forfeiture of her lease etc.

    Some good news, heard back from the neighbour who has contacted their solicitor (or actually read the contract) and is withdrawing their challenge), thanks to all your advice!
