Wooden Floor and Panelling in Bathroom

Hi,
We have just bought our first house which is a Victorian Terrace and are in the process of making a few much needed improvements!
I need a bit of advice on the bathroom. It currently has exposed floorboards and wooden panelling which is about half the height of the bathroom.
The original plan was to paint the panelling and floor an off white and the walls a light blue. The bathroom has a claw-footed bath in the middle of the room and we are currently fitting a shower.
The panelling and skirting have been done recently and to a high standard, the floor boards however are not as good as I remembered! Some are okay bit some will definitely need replacing.
Basically has anyone had a similar issue with the floor? Is it worth replacing a few of the floorboards and then painting it? Both the wood and floor look like they been stained so will it all need to be sanded first? How do I treat the wood to make it waterproof?
Are there any other alternative flooring I could put on top which would not disturb the skirting and retain the Victorian feel of the bathroom??
Any ideas would be appreciated!
