I agree, if Shell management insist they can maintain the dividend like they are insisting this deal will pay, they might leave Shell seriously short of cash before they are forced to admit they are wrong, and have to backtrack with a costly rights issue?
Making Shell staff redundant would be expensive for the company, so I can't see such big savings from synergies. Especially when BG management have shown themselves to be far more astute than Shell, you only have to look at the price they got to see that. I think you mean libel? but it couldn't be that because of the part of my quote I have highlighted.
My only reference to ISS was asking a question (which remains unanswered). Asking a question is not libel either.
Incidentally, if ISS did try to claim someone had libelled them they would have to prove they had a good reputation to damage, and that would be complicated by the non compliance fines they have had to pay to the SEC

OK, but the danger you are in right now is that if Shell shareholders vote the deal down BG shares are likely to crash. To to get some idea how much BG shares would fall remember Shell's offer is 50% higher than the market price of BG shares - before the oil price halved!.
