I think you're missing the point here. O2 consider the upgrade choice to be absolutely fine. They are disputing the fact I later ported away from O2. NOT the upgrade, but the choice to port away- which was not described in the remedy from the ombudsman.

im not trying to "prove you wrong" merely suggesting that they may not have a case to answer, and you might just have to pay the money they say you owe them.
In your OP you saidI believe that the contract for my 30 day rolling contract overwrites my first contract as it was an upgrade. Correct?
I answered your question saying no i dont believe it is correct and it appears o2 believe the same.
I have never heard of an "upgrade" reducing the term of a contract, in fact the reason phone companys give upgrades normally at a good deal is to tie you in for longer, They were allowing you to upgrade your contract to take advantage of 4G, however I dont see where they agreed or where told to let you leave early, I think that point is crucial,
now i know you say you would call it an upgrade to switch to simplicity, however in my experience when my contract has been up but i wanted to wait for a new handset, they would switch to a sim only tariff until such times as I wanted to upgrade,
It will be interesting to see the ombudsmans take on it, and i genuinely hope you are right, but i think the crucial point is they didnt say you could exit your contract early without penalty0
