I am not sure but this does not sound legal to me.

    Perfectly legal.

    I have some paperwork in front of me now for a seller-financed sale, and if this was not possible, there was no way this would be happening.

    The company would need the additional capital, whilst at the same time paying off the loan to the sellers, however long-term it's surely in the governments best interests for it to be done like this, if not in short-term.
