Terms and Conditions
Welcome to the Hargreaves Lansdown Big Deal Stock Market Challenge Game (the "Game"), which will run from 08.00 on 13 January 2014 to 23.59 on 30 May 2014. These terms and conditions (the "Terms"), set out the rules of participation in the Game and the online terms of use of the website available at https://thebigdeal.hl.co.uk/ (the "Game Website") and the Facebook App.
If you use the Game Website or the Facebook App, but have not registered for the Game, you agree to be bound by the online terms of use outlined in term 7 below.
By registering to participate in the Game you hereby agree to be bound by, and comply with, the Terms in their entirety so please read them carefully before you register.
For your own benefit and protection you should note that the Game involves investing virtual money and therefore the profits and/or losses incurred by you within the Game are not material. When investing your own, actual money, you may (among other investment considerations): (i) get back less than you invest because the value of investments can go down in value as well as up; and (ii) wish to consider taking a longer term perspective than that adopted when playing the Game. If in doubt please seek independent financial advice.

• Definitions
  
  When the following words with capital letters are used in these Terms, this is what they will mean:
  "Company" means a private league created by a Company Chairman comprising at least 4 Players which is eligible to enter a Company league.
  "Company Banter Board" means the private live chat message board which each member of a Company can access and contribute to.
  "Company Chairman" means the creator of a Company who is able to hire Players to, and sack Players from, that Company.
  "Facebook App" means a version of the Game which Players can access through Facebook.
  "Game Month" means each of the five (5) separate phases during the Game Period. The Game Month assessment dates are: (Game Month 1) 13 January 2014 - 7 February 2014 (Game Month 2) 10 February 2014 - 7 March 2014 (Game Month 3) 10 March 2014 - 4 April 2014 (Game Month 4) 7 April 2014 - 2 May 2014 (Game Month 5) 5 May 2014 - 30 May 2014.
  "Game Period" 08.00 on 13 January 2014 to 23.59 on 30 May 2014.
  "Game Website" means https://thebigdeal.hl.co.uk/ and any related sub-domains.
  "HL" means Hargreaves Lansdown Asset Management Limited, a company registered in England and Wales (company number 1896481), whose registered office is One College Square South, Anchor Road, Bristol, BS1 5HL. HL is authorised and regulated by the Financial Conduct Authority (FCA) with FCA register number 115248. HL sponsors the Game and provides the Prizes.
  "Lucky Dip Portfolio" means a portfolio that is automatically generated and selected at random on behalf of a Player.
  "Monthly Prizes" means the monthly Player Prize and the monthly Company Prize.
  "MSM" means MSM Media Limited, a company registered in England and Wales (company number 3733852), whose registered office is Thames House, 18 Park Street, London, SE 1 9ER. MSM is the software owner and licensor of the Game, who is responsible for administering the Game and for hosting, maintaining and managing the Game Website and for maintaining and managing the Facebook App.
  "Overall Prizes" means the overall Player Prize and the overall Company Prize.
  "Player" means an eligible person who has completed an online application to enter the Game, which has been accepted.
  "Prize(s)" means those rewards published in the prizes section of the Game Website and of the Facebook App awarded to validly registered Players who satisfy the eligibility criteria of the General Conditions for Prizes in term 4 and the relevant Specific Conditions for each Prize in term 5.
  "You", "you", "Your" or "your" shall mean any user (or potential user) of the Game or any other user of the Game Website or Facebook App (as applicable).
• Applications and Registration
  • No purchase of any item or service is necessary in order to enter the Game and no payment is required from you to enter the Game. The sole consideration from you is that you agree to be bound by the Terms.
  • All applications must be made online on the Game Website or through the Facebook App and strictly in accordance with the relevant instructions. All applications must be fully completed and no application to enter made in any other manner will be accepted. Where your application is accepted, you will become known as a Player.
  • Registration is open from 10.00 on 9 December 2013 until 23.59 on 4 May 2014. Your date of entry will determine your eligibility for the Prizes, as explained in more detail at term 5 below.
  • An initial registration period will run from 10.00 on 9 December 2013 until 23.59 on 12 January 2014 during which individuals can register for the Game. However, purchases of stocks or funds will not be executed until the Game Period commences on 13 January 2014.
  • MSM accepts no responsibility for lost, delayed or incomplete entries or entries not received by MSM for any other reason. Any such entries will be deemed void (concerning which the decision of MSM will be final).
  • Entry into the Game is restricted to residents of the UK, Channel Islands and the Isle of Man. All entrants to the Game must be aged 18 or over on or before 9 December 2013. Employees (and their immediate families) of MSM or HL may enter but will be ineligible to win any of the Prizes. A separate staff league is available for employees of HL.
  • Only one entry in respect of the Game per unique registered user of the Game Website or the Facebook App is permitted. Multiple entries by the same unique registered user are not permitted and systemic collusion or collaboration between Players may be deemed to be equivalent to multiple entry (concerning which the decision of MSM shall be final).
  • Those who do not comply with these Terms, the reasonable instructions of MSM and any requirements stated on the Game Website or on the Facebook App may be disqualified in MSM's sole discretion.
  • At any time and in its absolute discretion, MSM reserves the right to:
    a) require any reasonable amendment to your application or entry;
    b) refuse to accept names created by Players or Company names (and may suspend or delete accounts relating to such names) which are deemed to be inappropriate or offensive;
    c) remove a Player from the Game if such Player does not act in accordance with the Terms, or the spirit of the Terms or is suspected of playing under a false identity;
    d) disqualify Players from the Game;
    e) close the registration to further registrations should the Game's capacity be reached or for any other reason.

The Game Rules

The Game Rules in this term 3 should be read in addition to the "How to Play" sections of the Game Website and the Facebook App, which contain useful information and instructions about how to play the game and forms part of these Terms.

Game objective

• Once registered, and provided the Game Period has opened, you will be able to build a portfolio of investments by investing a notional £100,000 (credited to your account on registration) in a choice of funds and shares or by choosing a Lucky Dip Portfolio and letting the Game pick for you. Alternatively, if you want to carry out your own research you can opt to decide how you want to invest at a later date.
• The aim of the Game is to manage your initial £100,000 virtual portfolio throughout the five (5) Game Months to accumulate the highest overall portfolio value by the end of the Game Period.
  Registration
• The registration process is described in the "How to Play" section of the Game Website and users must meet the eligibility criteria in term 2 above to become validly registered.
  Trading
• The trading process is described in the "How to Play" section of the Game Website.
• Trades can be placed (but may not be executed) at all times during the Game Period, except where essential Game updates are taking place or for the reasons outlined in term 9.2 below.
• The following notional transaction costs will apply to investments made within the Game and debited from you available notional portfolio balance:
  a) A notional £5.95 commission when buying or selling shares (regardless of trade size); and
  b) Stamp duty of 0.5% when buying any shares (regardless of whether the share is exempt or a different rate of stamp duty should apply).
• MSM may change the trading costs associated with any investment, or introduce new trading costs, at any time in the course of the Game Period at its absolute discretion.
• You should note that trading, including any costs associated with trading in the Game may not reflect reality.
• Trades placed during the weekend or Bank Holiday will be considered in the same way as a trade before midday on the next business day.
  Leagues
• Players validly registered for the Game prior to the start of Game Month 5, will automatically be entered into the overall Player league featuring all validly registered Players.
• Players validly registered for the Game prior to the start of the final week of a Game Month, will automatically be entered into the monthly Player performance league for that Game Month.
• Companies created prior to the start of Game Month 5, will automatically be entered into the overall Company league featuring all validly registered Companies.
• Companies created prior to the final week of a Game Month, will automatically be entered into the monthly Company performance league for that Game Month.
  Performance Measurement
• During the Game Period Players will be able to view their own portfolio performance.
• Half hourly prices will be used for portfolio valuation and performance measurement purposes when the market is open. Closing prices will be used for portfolio valuation and performance measurements when the market is closed.
• Performance will be measured by calculating the percentage change over the relevant period which will be displayed in the Game to two decimal places only.
  Referring a Friend
• You can refer a friend to the Game by entering their email address in the box provided on the Game Website or on the Facebook App, provided that you have received the explicit consent of the individual whose email address you are supplying.
• An email will be sent to the email addresses provided by you inviting the friend to register for the Game. The email will make reference to your name and explain to the recipient that you were the source of their email address.
  General
• MSM and HL reserve the right to alter, amend or supplement the "How to Play" sections of the Game Website and Facebook App or these Terms from time to time in their absolute discretion where they consider it desirable to do so or in the event of any circumstances beyond their reasonable control. You agree that no liability shall attach to MSM or HL as a result of any such change and so are advised to check the Terms and the "How to Play" sections regularly.
• MSM and HL will be the sole decision makers of any matter or interpretation of these Terms and any aspect of the content of, or playing of the Game or the administration of Player accounts. In particular, the decision of MSM or HL as to any matter arising out of or in connection with these Terms including eligibility to participate and/ or the award of any Prizes/ achievements and/or any ranking shall be final and conclusive. Further, if the Game is not capable of running as planned for any reason (or where they consider it necessary in the event of any legal or regulatory challenge), MSM and HL reserve the right, in their sole discretion, to cancel, modify or suspend the Game, which may include, without limitation, not awarding one or more (or any) prizes, altering the Game mechanic and/or extending or cutting short the Game Period. You agree that no liability shall attach to MSM or HL as a result of exercising any discretion under this term.

Prizes - General conditions

The general conditions in this term 4 apply to all Prizes. The specific conditions outlined in term 5 will apply in addition to this term 4 depending on the particular Prize.

Prize Eligibility

• Only individuals who are validly registered Players in accordance with term 2, meet the general eligibility conditions outlined in this term 4 and satisfy the additional specific conditions relating to each particular Prize as outlined in term 5, are eligible to win a Prize.
• Where a Player has a Lucky Dip Portfolio, to be eligible to win a Prize the Player must have logged into their account at least once during the Game Period before such Prize is assessed.
• To be eligible to win the Overall Prizes or the Monthly Prizes a Player (or all the Players within a Company) must have at least 75% of their portfolio invested in shares and/or funds at the date the Prize is assessed. Any Player (or any Company which has a Player within it) that has less than 75% of their portfolio value invested at the time of assessment of the Overall Prizes or Monthly Prizes, will not be eligible for that Prize.
• Employees (and their immediate families) of MSM or HL will be ineligible to win any of the Prizes.
• In the event of a tie for any of the Prizes, that Prize will be split between all tied entries.
• In no event shall HL be liable to award more Prizes than those Prizes stated.
  Prize Winners
• The Prizes awarded will be at the discretion of HL and HL may alter and amend the Prizes.
• HL will notify Prize winners within 28 days from the date of assessment or 28 days from the date of a Prize draw by email. Should HL be unable to contact a Prize winner or be unable to confirm whether a Player is eligible to win a Prize within 28 days from the date of assessment of the Prize, HL may, at its absolute discretion, determine that the Player is ineligible for the Prize concerned and instead award the Prize to the Player, or Company, who appears next on the leaderboard, subject to being able to contact them and confirm their eligibility within 28 days.
• HL cannot be held responsible if the details supplied by Players are incorrect and result in the Prizes not being received. It is the Player's responsibility to check for email notifications including within their own junk email folders or diversion of emails by spam filters. If you use a program to filter spam emails please add the following email address to your approved senders list: [EMAIL="bigdeal&#64;moneyam.com"]bigdeal@moneyam.com[/EMAIL].
• A list of the names and counties of major prize winners will be available on the Game Website between award of Prizes and 31 July 2014. Winners' names, addresses, photographic images and their comments relating to the Prizes may be used without limitation for future promotional, marketing and publicity purposes by HL without notice to them and without any fee being paid.
  Tax Liabilities
• HL cannot be held responsible if the details supplied by Players are incorrect and result in the Prizes not being received. It is the Player's responsibility to check for email notifications including within their own junk email folders or diversion of emails by spam filters. • MSM or HL will not be liable for any tax liability which is incurred by any person as a result of or in connection with the winning of any Prize in the Game. Settlement of any tax liability will be the sole responsibility of the recipient of the Prize. For the purposes of the Game, tax includes all taxes, VAT, national insurance or any similar liabilities.

Prizes - Specific Conditions


The conditions in this term 5 apply to each particular Prize (as specified) in addition to the General eligibility conditions outlined at term 4 above.

• Overall Player PrizeThe overall Player Prize is awarded to the Player who, according to MSM's determination, has the highest portfolio value at the end of the Game Period and appears at the top of the final overall Player leaderboard published by MSM.Only Players who have registered prior to the start of Game Month 5 (23.59 on 4 May 2014) will be eligible to win the overall Player Prize.
• Overall Company PrizeThe overall Company Prize is awarded to the Company Chairman of the Company who, according to MSM's determination, has the highest average portfolio value across the Players within it at the end of the Game Period and appears at the top of the final overall Company leaderboard published by MSM.Only Companies who have been created prior to the start of Game Month 5 (23.59 on 4 May 2014) will be eligible to win the Overall Company Prize.A Company must contain at least four (4) eligible Players to be eligible for the Overall Company Prize. A Company containing an HL Employee will be ineligible to win the overall Company Prize.A winning Company Chairman may decide to share, or not to share, the Prize in his/her absolute discretion. You agree that no liability shall attach to MSM or HL as a result of a winning Company Chairman exercising any discretion under this term.
• Monthly Player PrizeThe monthly Player Prize is awarded to the Player who, according to MSM's determination, has the highest percentage return on their portfolio during a Game Month and appears at the top of the monthly Player leaderboard at the end of that Game Month published by MSM.To be eligible for a monthly Player Prize, a Player must have registered for the Game at least one calendar week prior to the end of the relevant Game Month. For example, to be eligible for the monthly Player Prize for Game Month 1 a Player must have registered for the Game before 23.59 on 31 January 2014. However, a Player who registers within the final week of a Game Month will remain eligible for future monthly Player Prizes in subsequent Game Months.
• Monthly Company PrizeThe monthly Company Prize is awarded to the Company Chairman of the Company who, according to MSM's determination, has the highest percentage increase in average portfolio value of Players within it for a Game Month and appears at the top of the monthly Company leaderboard at the end of that Game Month published by MSM.To be eligible for a monthly Company Prize, a Company Chairman must have created an eligible Company at least one calendar week prior to the end of the relevant Game Month. For example, to be eligible for the monthly Company Prize for Game Month 1 a Company Chairman must have created an eligible Company before 23.59 on 31 January 2014. However, a Company Chairman who registers a valid Company within the final week of a Game Month will remain eligible for future monthly Company Prizes in subsequent Game Months.A Company must contain at least four (4) eligible Players to be eligible for the monthly Company Prize. A Company containing an HL Employee will be ineligible to win the monthly Company Prize.A winning Company Chairman may decide to share, or not to share, the Prize in his/her absolute discretion. You agree that no liability shall attach to MSM or HL as a result of a winning Company Chairman exercising any discretion under this term.
• Monthly friend referral Prize DrawThe winner of each monthly referral Prize will be determined by a prize draw carried out at the end of each Game Month.Each Player that refers at least three unique individual users to the Game within a Game Month (providing that each referred individual completes the registration process for the Game and becomes a Player) will receive one entry into the monthly friend referral Prize Draw for that Game Month.Each Player will receive one further entry per three unique individual users referred within that Game Month (providing each referral becomes a valid Player).Each Player referred to the Game will receive one entry to the prize draw for the Game Month in which they register.One entry into the monthly friend referral prize draw will be drawn at random from all entries received by the end of the relevant Game Month.

Company Banter Board

• The goal of the Company Banter Board is to provide an environment in which Players in that Company can freely exchange thoughts, ideas, knowledge and opinions. The general Company Banter Board standards outlined in this term 6 are crucial to that goal and Players must comply with the spirit of these standards as well at the letter to ensure a positive experience for all Players.Contributions to the Company Banter Board must:• Be legal, decent, proper and relevant.Contributions to the Company Banter Board must not:• Defame, threaten, harass, abuse or otherwise violate the rights or others (whether they are users of the Game or not).• Contain content which is unlawful, defamatory, obscene, objectionable or inappropriate.• Promote or provide any illegal activity.• Interfere with the intellectual property rights or confidential information of others.• Contain personal information of others, unless you have their consent. You should also consider the consequences of giving out your own personal information.
• The Company Banter Boards are self-moderated and MSM does not pre-screen any content posted or disseminated through the Company Banter Boards. Because of this, you should understand that when using the Game, you might come across some content you find offensive or objectionable. If you do come across such content then you are free to register a complaint with MSM in relation to this or consider leaving the Company where the content was posted.
• You are entirely responsible for any messages you post. You shall be entirely responsible for any losses that MSM, HL or any Players may suffer as a result of any messages you post or otherwise as a result of your use of the Game.
• MSM reserves the right at any time and for any reason to:
  a) Temporarily or permanently suspend your access to the Company Banter Boards.
  b) Delete any of your messages.
  c) Require any of your future messages to be pre-vetted.
  d) Take any other action against your account as MSM sees fit.
  e) Disclose your identity and contact details to the competent authorities and/ or (where MSM believes this is necessary in order to take advantage of any legal defence or comply with any legal or regulatory requirements) to complainants alleging infringement of their rights, defamation or any other legal cause of action.

Online terms of use

• The terms of use specified in this term 7 apply to users of the Game Website (hosted, maintained and managed by MSM) or the Facebook App (maintained and managed by MSM) for the purpose of the Game.
• By using the Game Website or the Facebook App you agree to the terms of use in this Term 7 and consent to your information being processed in accordance with the practices described in the Privacy Policy.
• Whilst the Game Website or Facebook App contain links to, and from, websites issued by HL and other group companies of Hargreaves Lansdown PLC, separate terms of use apply to use of those websites and the terms of use outlined in this Term 7 will not apply.
• The Game Website and Facebook App are provided solely for Players (and potential Players) of the Game, do not cater for particular requirements and should not be used for making actual investment decisions (other than virtual investment decisions within the Game). The Website and Facebook App may not be used by any other third party or commercial organisation without the prior express written consent from MSM and HL.
• The Game Website and Facebook App may contain information provided by third parties. It is the responsibility of these respective third parties to ensure this information is reliable and accurate and MSM and HL accept no liability in relation to this information.
• All copyright and other intellectual property rights in any material (including text, photographs and other images and sound) contained on the Game Website or within the Facebook App is either owned by HL or MSM or has been licensed to HL or MSM by the right owner(s) for use by HL or MSM on the Game Website or Facebook App.
• The works referred to in term 7.6 are protected by copyright laws and treaties around the world. All such rights are reserved. You must not modify the paper or digital copies you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text. HL and MSM's status (and that of any identified contributors) as the authors of content on the Game Website or on the Facebook App must always be acknowledged.
• You must not use any part of the content of the Game Website or Facebook App for commercial purposes without obtaining a licence to do so from MSM or HL as licensors. If you print off, copy or download any part of the Game Website or the Facebook App in breach of these terms of use, your right to use the Game Website or Facebook App will cease immediately and you must, at the opinion of MSM or HL, return or destroy any copies of the materials you have made.
• You acknowledge that the Game is in no way sponsored, endorsed or administered by, or associated with, Facebook. You hereby release Facebook from all liability arising from or in connection with the Game to the greatest extent permissible by law.

Complaints

• MSM is willing to investigate complaints by players to ensure that the high standards of the Game are maintained and can be contacted at [EMAIL="support&#64;moneyam.com"]support@moneyam.com[/EMAIL]. However, MSM's decision is final and it shall not be obliged to enter into any correspondence regarding the Game or the rewarding of any Prizes.

Responsibilities and Remedies

• The extent of MSM and HL's responsibility to you should be determined by reference to the fact that (a) the Game has been provided to you free of charge; (b) you are responsible for any action you do or do not take as a result of the Game. Notwithstanding any other provision of these Terms, nothing in these Terms shall limit or exclude in any way any entity's liability for death or personal injury caused by its negligence, for fraud or for any other liability that may not be limited or excluded as a matter of law.
• While MSM and HL will exercise reasonable skill and care in providing any service related to the Game to you, you acknowledge that access to the Game cannot be guaranteed at all times or without delay. The operation of the online services relating to the Game may be suspended where MSM or HL considers it necessary, including without limitation where operations have to be suspended for technical problems, emergencies, investigation, maintenance or Game updates.
• MSM and HL shall not be liable to you or to any person or entity for any loss, damage or claim arising from or in connection with the Game or any Prize. In particular (but without limiting the generality of the foregoing) MSM and HL cannot accept any liability from you for the following types of loss which you may suffer from your entry to the Game:
  a) Loss which was not foreseeable to you, MSM or HL when you first applied for the Game;
  b) Any business loss you may suffer, including loss of revenue, profits or anticipated savings;
  c) Any loss you may suffer in connection with a Prize;
  d) Loss which you suffer other than as a result of our failure to comply with these Terms or our negligence or breach of statutory duty.
• If any of these Terms are determined to be illegal, invalid or otherwise unenforceable, then the remaining terms shall continue in full force and effect.

Governing Law and Jurisdiction

• These Terms shall be governed and construed in accordance with the laws of England and Wales and the parties agree to submit to the exclusive jurisdiction of the Courts of England and Wales.
