Might be worth booting into safe mode and seeing if you can shutdown ok from there. If you still can't it might indicate Windows is in need of repairing. :)

...but I think I may have a dying PC on my hands !!
If it was dying I would be very surprised. I'd put my bet on a trojan/spyware, possiblr other software first.

I think it's just a Windows bug / damage. Don't think a Virus / Trojan would cause this. I've seen it within 1 or 2 XP machines at work.

In some occasions, clicking Start > Run > typing "shutdown.exe -f -s -t 0" without the quotes gets it to shut down. The usual Shutdown / restart buttons just don't work. They did start working after a forced reboot though.

Does the question imply it didn't shutdown even in safe mode?

I think its unlikely to be a virus. If it was shutting down ok recently then its likely to be a program you have installed recently.

You could try a system restore (e.g. to state 2 weeks ago). Data is safe (**but make sure you have backed up important stuff anyway!**)
