    My responsibility for the windows is not in dispute, its the fact the managing company are demanding payment for approval.

    Your solicitor is happy that the windows form part of your demised premises according to your lease, but it would appear that the external paintwork on the windows does not, as that remains in the ownership of the freeholder! I think you need to get your solicitor to look at this again and ask HIM what he advises legally re the removal of the freeholder's paint job together with your windows ...

    correct?

    Certainly from what you've posted, it seems your solicitor is right, though it a very unusual arrangement.

    They, on behalf of the landlord, will need to ensure that the windows to be fitted are suitable for the rest of the structure (the design & construction, not necessarily the appearance). That will require work from them, hence they will want to charge for it.

    Yet you haven't posted any clauses within the lease concerning payments or fees.

    If there is no clause there is nothing to pay, if there is a clause then it will depend on how it is phrased and what it covers.
