Renewing contract

Hello! Long time lurker, first time questioner - I've encountered a spot of bother with Bairstow Eves (surprise surprise)!
Background to problem:
Our original tenancy contract finishes on 29th May 2013.
We have received a letter from Countrywide (Bairstow Eves representatives) stating that we must either move out on that date or pay £125 to stay for a further 12 months. This has been explained to me as a necessary administration fee (but is obviously them extracting the Michael!). The Landlord also has to pay this fee.
We have asked if we can move (or lapse) to a rolling contract; the Landlord will not agree to this.
We have not received a Section 21 notice as of yet.
Questions:
Are they legally allowed to provide us with an ultimatum (move out or stay) without first providing us with a Section 21 notice?
If no Section 21 notice is provided and we stay beyond the 29th May, will the contract automatically lapse?
