Lost Articles of Association

Hello,

I own a flat in a block of six converted flats, we all have a Share of the Freehold and are part of residents management company to run the building. Somehow or other (because no one else wanted to do it) I ended up being secretary of the company about a year after I moved in. A bag of paperwork (mainly old receipts) was passed over to me, everything else seemed to have been lost by the previous secretary.

One of the other flat owners is now selling and I have been given an extensive questionnaire by his solicitor. Unfortunately we do not have Memorandum and Articles of Association, but there is a receipt saying 5 copies were supplied from a Formations company back in 2003. My questions is:

Is it possible simply to get/draw up a new Memorandum and Articles of Association?

Is it wise to go to a formations company for this, or can I get them elsewhere. The company has been registered at Companies House and running since, yearly accounts and tax etc, have all been kept up to date.

Thank you for any help, I really am in the dark on this. Don't get me started on the rest of the list

    You can use webcheck on the companies house website to get a copy of the Memorandum and Articles of Association. Costs £1.
  • OK, I have just found out Companies House has this and have downloaded them for a pound. Result.

    But, I have many more questions:

    1. How much is a Freeholders registration fee for notice of assignment normally?

    2. I also don't have a Deed of Covenant. Is this mandatory too?

    3. Please tell me the request for an asbestos report is overkill. A fire risk assessment I can handle, but an asbestos report. Really?

    Is a service rent paid for fees arising from sales? A specialist firm will answer this for you but will charge

    Keli - we self manage the flats, as an informal residents committee. I send out invoices for service charge to all flats to cover general maintenance and prof. fees.
