Liquidation and Disolved

Hello, We are in the process of getting quotes to have a dormer built in the loft with a new bathroom/bedroom.

We looked around for local firms that could handle the job from quote to finish, and found some with good websites, with lots of pictures of their work. We have had 2 quotes and the person doing the survey from each company was excellent with good ideas and advice without being pushy. It was hard to choose between them.

We finally made a decision and being cautious I did as much googling as I could on company A before contacting them for a list of prior clients as they promised.

I found a website that said company A was in liquidation since April last year......

I decided to search company B and found out they were dissolved.

I rung companies house to ensure the info on the website was correct, and it was. What they wouldn't or couldn't tell me was what the exact definitions were, or if the company should be quoting for work.

Are these things also used as some sort of restructuring event? To me it suggests going bust......so if so why are the quoting for work? Scared to continue with a project that will cost my life savings and put me in hock to the bank for the next 20 years.

Any advice more than welcomed.

  • avoid like the plague any company can get a good website built you have done right to do a little more research . We were undercut on a job last week by £600 it turned out that the company who got the job were the cheapest and despite saying on there website they had been in business 27years the owner had had 5 companies in the same industry dissolved

    Companies house will only record informatiion on limited companies. If your two are limited companies with liquidated/disolved status they are unable to trade - simple as that. If, however, the person quoting you is just using a name not as a limited company which just so happens to share the same name as one that is in liquidation or dissolved that would be a different matter.

    You need to do some more background research.

  • Hi all, thanks for the advice.

    They are the same companies as the address is the same, and we had a leaflet and business card off company A and letter headed paper off company B so they are still quoting for work.

    What other kind of research can I do Keystone? Any advice welcomed.

    Several companies can use the same address. Do the headed letters have a VAT number or a company number?

  • The first one has a company number that does not exist. The second one is missing the company number but has the same name, address, and telephone number as the company in liquidation on companies house.

    So correct me if I am wrong. You can go bust, but start a new company with the same name at the same address as long as you don't register it with companies house?

    Sorry if I appear to be a bit dim, and am asking stupid questions but it is all a mystery to me.

    The name under which you trade doesn't have to be the same as the name of your company. If another company goes bust, you could buy the name off the liquidators and start using it.

    Also bear in mind that people can also be sole traders (not a limited company at all), and can still trade under a trade name.
    If it sticks, force it.
    If it breaks, well it wasn't working right anyway.
