Ltd Company

I think I might be in the same boat as loads of folk and I need some advice. :confused:

I work as a contractor in the oil industry (Document control before you think I'm a rich engineer or manager type) and decided in at the end of last year to go limited company to try and take home more of my pay. I signed up with Filetravel and started doing what I thought was legal and honest... and it was, till the 6th of April. :eek: Over the last month at the cost much stress to us, Filetravel were trying to comply with new legislation yet still maintain some kind of trade with contractors. Yet this morning I have discovered that they are withdrawing their services from all personal managed companies. Therefore I need to either become PAYE contractor again or remain limited company. I wish to remain Ltd company but this means doing a bit more legwork and working out what i need to do to do it legitimately.

At the moment the company name that filetravel registered for me with companies house I've been told isn't worth the paper its written on due to it being registered under english and welsh law and not Scottish law. Also it was registered under filetravels address, which is nolonger a legitimate thing for me to do. I may have to register my company name again in Scotland but at which address, I understand that I can't use my home address as then I'm breaking some other legislation. but this is really just the small thing.

I need an accountant and a financial advisor but I really don't know where to start. I want to keep everything legal and above board but I need to have everything set up before the start of next month otherwise I won't be getting paid.
Can someone advise me what to look out for.
Can anyone recommend an accountant and if I'll need a separate solicitor? Is there any Financial advisors (possibly round Aberdeen area) who might be able to help me. I know I need to set up a business bank account as well but I don't know if that'll now have to wait till I've got new certificate of incorporation. Whimper.

    You won't need a solicitor. You (or your accountant) can form a new company using company formation agents. There are a lot of small/specialised accountancy practices that deal with "one man" limited companies all over the UK - you don't necessarily need a local accountant as most things can be done over the internet. There are loads of people like yourself who were working through Filetravel or Giant (and others) who are left in the lurch. There are quite a few dicussions about it on https://www.contractoruk.com. Why not just phone up a couple of local small firm accountants and maybe phone a couple of the internet-based ones.

    I wouldn't necessarily write off your current limited company - most good accountants will be able to take it over, correct it, and move forward with it.

    I formed my limited company over the net through http://www.brightonformations.co.uk/
    I bought the bronze package £64.63 - they did everything else i.e. registering with Co Hse etc, the whole process took only a few days.

    Where can one get Articles of Association, without paying people to use these generic templates for you? Is there a good place to go for them at all?
