What is the significance of exchanging as opposed to selling?

I notice on the EA websites that some people who are looking to sell say that they will consider an exchange. What are the advantages to this?
Do you just go through the legal procedures of buying and selling as normal, but to each other, or is it a different legal arrangement altogether?

The second person coming to the table will save on marketing costs and preparation such as staging for photos, viewings, etc
The 'chain', such as it is, will consist of only two parties, with no external dependancies.
