One point here worth noting me_eevie..........
Dont hand deliver the letter use recorded delivery even if he / she lives next door if you hand deliver it you have no proof it has been delivered.
The best advice is already posted you must see a solicitor ASAP dont try and DIY cos you will only cause yourself more aggro.
Although it is a simple matter to sort for them it is important that things are done correctly.
As the OP says you as a director are liable......

You don't need a solicitor yet, you need an accountant. If you don't know a good one PM me and I'll give you the number of mine.
You may be able to resign as a Director once it's all sorted out but this is a reminder to never enter into something that you don't know the full details of.0 -
I would relax, if I were you. Why? Because thousands of small companies don't deliver their annual returns on time and it seems to me that there is seldom any comeback.
How do i know? Becuase I am the secretary of a charity and have just nearly missed sending in my annual return. Fortunately I rememebered just in time. But I know loads of people who have forgotten. You can take it from me that the reminder to submit the return is not sent by registered post, so it could easily have got lost.
Have a look here. Unless your fellow directors have spent any money, and from your earlier post it sounds as if you haven't, you don't need an accountant to complete this form. (YOu may still feel you need a good accountant, but that's a separate matter).
I would do the following.
1. Make sure you are not panicking unneccessarily. How are you sure the buildings insurance hasn't been paid? If you have only known about this since yesterday, it is possible that this guy and his wife are away for a few days. But if the worst comes to the worst....Contact your 'accountant', sack him and notify him that you will be holding him personally responsible for any comeback from Companies House as a result of the fact he did not submit your return on time. Send him a copy of from 288b and ask him to return this to you (so you can check he's done it) - this is his resignation. Otherwise you will have to check your memorandum and articles of association to see how to get rid of him. You need an explanation from him as to what has happened to the premium for the insurance. How much money are we talking about here? If less than £5k, it should be easily recoverable through small claims action.
2. Notify CH that you have dispensed with your accountant, and ask them to send you (or your fellow director) a copy of the form.
3. Notify your fellow residents of this, and ask them to attend a meeting to elect a CO Sec. If you are prepared to be this Sec then go for it, otherwise you might need to pay another accountant....

hello evie - just saw this in passing but would insist, ALWAYS send things Recorded Delivery. It's trackable and traceable online within the UK. I'm glad you've sorted the above, but the 'accountant'(he's not qualified, so isn't one)is your URGENT problem now. Remember, the CAB is always on hand to point you in direction of suitable help, even if they can't supply it themselves.
