Is it possible to transfer shares held in a small ltd company that is not listed on an exchange into an ISA, so as not to pay tax on dividends?

No, shares in unlisted companies are not allowed in an ISA.0

How about shares in a company listed only in the US? I happen to have options on shares in a company planning a tech IPO in the US sometime reasonably soon.0

International shares are fine as long as they are listed on a recognised stock exchange ( list ). But you need a broker who will deal in them; some will only allow UK listed shares.0

You can't transfer any shares into an ISA.
You have to sell them first, invest cash, then purchase shares.0 -

Unless they are obtained as part of an Inland Revenue approved:
1. a savings-related share option scheme
2. an employee profit-sharing scheme
3. an employee share ownership plan.
and moved into the ISA within 90 days..
