I have MS Office Professional 2010 discs 32 bit for my Desktop PC.
I have been told that it can be downloaded on a 64 bit laptop.
However is there a loss of functionality?
Are there any other pitfalls?

There is no loss of functionality with using the 32 bit version on a 64 bit platform.
The recommendation is not to use a 64 bit version of Office unless you need the enormous worksheet size in Excel that the 64 bit will give. The 64 bit version of Office has shortcomings. This is a system account and does not represent a real person. To contact the Forum Team email forumteam@moneysavingexpert.com0 -
Microsoft actually recommends running the 32-bit version of Office under 64-bit Windows!0

64-bit Office works absolutely fine. There are fewer add-ins for this edition compared with the 32-bit version, but that's about it."Whenever you find yourself on the side of the majority, it's time to pause and reflect." - Mark Twain0

Also if you wish to stick Office 2010 on a MS Sharepoint 2010 server for perhaps dev purposes you need the 64bit version...0
