I think you're right. I have spoken to the guy who's already offered me the job and told him that I'm waiting to hear back from another employer. He was very understanding and sounded grateful to be told, and said that if they offered more that I should come and talk to him about it.

I'm glad that I was upfront about it, as no matter what happens now I don't think there can be much in the way of bad feelings.

You can say anything you like in a reference as long as it is true and not deliberately misleading.

For what it is worth I agree with the rest of your post - that is where you are expressing an opinion rather than quoting "fact"!
