1&1 MailXchange 4.0 Fraud Problems

Hi All,
Need a bit of advise on a problem my company has.
We had a hosting agreement for a site that we registered for a friend (PerfectEstates.co.uk) with 1&1, and well also used them to access our domain Stellings.co.uk but not host it.
Now they tried to upsell some of their products, namely MailXchange 4.0, to my boss, who knows nothing about the web side of our business.
She told them to put the details down and send an email to our generic info@ address so I could pick it up. No email ever arrived.
We recently got an email invoice for 5! Xchange accounts for 3 months time span at a total cost of £90. of course we have refused to pay this as we are currently in a contract for our Stellings web hosting and email with eshop-systems.net, and are very happy with both the product and service we receive.
1&1 has now demanded full payment, although we have both cancelled the un-needed Xchange accounts and the web hosting in general over this.
We can't contact ANY uk representatives of this company and also have been passed between the Philippines and Germany in a effort to solve this problem but are getting nowhere.
My boss assures me she hasn't verbally agreed to any contract and 1&1 obviously will not confirm this is the case ("Contact Germany for the call logs", no answer from Germany!)
She is getting to the end of her thether over this, and for the cost of the invoice wants assurance that by paying it to avoid legal action, they then can't claim this is agreement of a contract in place.
