Articles of Association for Flat Management Company

Hi All
Myself and my fellow leaseholders in a four flat block are in the process of buying the freehold from the Council and we need to set up a management company to hold the freehold.

I have searched the web extensively but can't find a template for the Memorandum and Articles of Association appropriate for a flat management company, and am reluctant to use an off the shelf company formation service.

Any help or advice would be gratefully received, many thanks

    Can you ask a friend who already has a flat management company for a copy of theirs and base yours on that?

    Unfortunately I do not know anyone who has a flat management company, hence the request on here.

    Just do it directly with Companies House using their online service and their model M&A's. You don't need anything different or more specialised for a freehold management company. :)

    You do need specialised memo and articles because it is critical that membership/shareholding is confined to those who own flats in the development and anyone ceasing to own a flat is disqualified from membership.

    It isn't that expensive to buy a ready made company for your own development - see e.g. http://www.fcls.co.uk/company_flats.asp who charge £170 for Flat Management Company limited by guarantee.

    How can I get hold of a sample set of memo and arts to ensure I have the correct clauses covering issues of membership, and the requirement to transfer your share when you sell your leasehold to the new lessee.

    I did set up an off the shelf company that allegedly had specific mem & arts for a flat management company, but it looks like it is just table A, ie no reference to a flat management company.

    I either now have to amend the articles, or bin the company and have another one set up.

    As I said for £170 you can buy a ready made company with all the appropriate provisions. In the grand scheme of things I think you would find it more hassle mucking around trying to change the memo and arts of an existing company.
