Why not speak to an independent accountant about the company and also a solicitor? They are the only people who can give you specialist advice - it is far better than relying on advice from people you don't know, it is just like getting advice from your mates in the pub or even your dodgy business partner. Specialists e.g accoutants and lawyers have been trained and know the law, I am not a trained lawyer nor accountant, I run a small business and I have the sense to outsource such matters to specialists rather than asking for advice from a bunch of people I don't know on an anonymous forum.

i think i am supposed to petition?? Do i just phone hmrc and be honest???

I'm sorry that the answers you were provided with maybe were not the answers you wanted to hear.
However, hopefully the answers given will help anyone else who may find themselves in a similar situation
