Non Disclosure Agreement Form

Hi,
I wondered if one of you lovely lot could help me.
I've had a brain wave - checked UK market and found a gap. I've found a company who *should* be able to make me a prototype - But i dont want them to obviously nab my idea!
I've found a "Non Disclosure Agreement" - but im having some problems filling it in!
can anyone help?
This is the first section that im stuck on
Discloser
Effective Date: (obvious!)
Participant: (obvious!)
In order to protect certain confidential information that may be disclosed by Discloser (“DISCLOSER”) to the “Participant” above, they agree that:
1. The confidential information disclosed under this Agreement is described as:
THIS IS WHAT IM STUCK ON?! WHAT AM I MEANT TO PUT HERE FOR PART 1?!
2. The Participant shall use the confidential information received under this Agreement for the purpose of:
i'M ASSUMING FOR THIS BIT I PUT ABOUT THE PROTOTYPE?

I suggest you seek independent professional, legal advice rather than asking anonymous users on t'internet.

Premier is right, this is just too important! Feel free to start off doing a DIY NDA, but make sure you get your own legal advice to make sure it is right for your case. Yes, that will cost money, yes it is worth doing.0

The advice thus far is good. You might also want to consider a two-way NDA. I use these, so that partners or suppliers to a project can also tell me about their trade secrets if necessary, but I cannot then use that idea as my own.
The most important bit is to correctly define the field and purpose for which the confidential information will be shared. Typically for me, some of the markets or industries I intend my research to benefit will not be those of suppliers or partners.Hoping this year is better than the last.0
