NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS CONTEST.
ENTRY IS OPEN ONLY TO LEGAL RESIDENTS OF THE 50 UNITED STATES (EXCLUDING Puerto Rico, AND all U.S. territories and possessions), the DISTRICT OF COLUMBIA, CANADA (excluding the PROVINCE OF QUEBEC) AND, THE uNITED KINGDOM WHO are AT LEAST 18 YEARS OF age ON DATE OF ENTRY. This contest is in no way sponsored, endorsed or administered by, or associated with Facebook. PLEASE NOTE THAT THIS IS NOT A PRIZE DRAW BUT A skill-based CONTEST.

1) CONTEST TIMING:The Jessie J Top Fan Contest (the “Contest”) begins on January 5, 2011 at 12:00:01 AM Eastern Time U.S. (“ET”) (-05:00:01 Greenwich Mean Time) and ends February 25, 2011 at 11:59:59 AM ET (the "Contest Period"). During the Contest Period there are two (2) Prize Periods (“Prize Period”). The first Prize Period begins on January 5, 2011 at 12:00:01 AM ET and ends January 15, 2011 at 11:59:59 PM ET. The second Prize Period begins on January 16, 2011 at 12:00:01 AM ET and ends February 25, 2011 at 11:59:59 AM ET. The Sponsor’s computer is the official timekeeper for this Contest.

2) ELIGIBILITY: This Contest is offered and open only to persons legally residing in the fifty (50) United States (excluding Puerto Rico, and all U.S. territories and possessions), the District of Columbia, Canada (excluding the province of Quebec) and, the United Kingdom who are at least eighteen (18) years of age on the date of entry in this Contest. VEVO Inc., (“Sponsor”), Marden-Kane, Inc. (“Administrator”), and each of their respective parents, subsidiaries and affiliated companies, officers, directors, distributors, advertising, promotional and judging agencies, persons engaged in the development, production or distribution of materials for this Contest (collectively, the “Contest Entities”), and each of their immediate family members (parent, child, sibling, and spouse of each) and/or persons living in the same household as such individuals (whether related or not) are not eligible to enter or win. This Contest is void in Quebec, Puerto Rico, all U.S. territories and possessions, and where prohibited by law. Minors – Parents and Guardians: The parent or legal guardian of an entrant who is at least 18 but still considered a minor in his/her jurisdiction of residence (“Minor”): (a) will ensure that the Minor will comply with these Official Rules; and (b) warrant that the Minor, is capable of agreeing to these Official Rules and giving the consents contained herein. The parent or legal guardian of each such Minor, agrees to indemnify the Contest Entities from and against: (a) any claims made by the Minor, his or her legal guardian, or any member of his or her family against the Contest Entities in connection with the Contest; and (b) any losses (including any liability) caused by any conduct of the entrant which is inconsistent with these Official Rules.

3) HOW TO PARTICIPATE: No purchase, entry fee, payment, or proof-of-purchase necessary to participate. During the Contest Period, you can register to participate in the Contest on the “Lift” tab on the VEVO Brand Page on Facebook at http://www.facebook.com/vevo (the “Website”). Then, complete the registration form and submit as instructed. As part of the Contest registration process, entrants must indicate that they have read, accepted, and agreed to be bound by these official Contest rules (the “Official Rules”) and its exercise of discretion, which will be final and binding in all respects. Any information collected from the entrant shall be used only in a manner consistent with the consent given by the entrants at the time of entry, with these Official Rules, and with the Sponsor’s Privacy Policy found at www.vevo.com/privacy-policy. Limit one (1) registration per eligible person.

The objective of this Contest is to become Jessie J’s “top fan” by earning the most points. Registered players can earn points by completing tasks (as described below). The player with the greatest amount of points at the conclusion of each Prize Period will earn the title “Top Fan” and be known as a potential grand prize winner. In the event of a tie, the first player to reach the top score will be declared the winner. Below is a partial list of point earning tasks. Below is a complete list of point earning tasks:

· Registering for the Contest: 100 points (limit one (1) time)
· Each click on a link you have shared to Twitter, Myspace, Digg, Tumblr or Buzz from within the Jessie J Top Fan Facebook application: 5 points per user IP address
· Subscribe to Jessie J newsletter from within the Jessie J Top Fan Facebook application: 100 points (limit one (1) time)
· Ask Jessie J a question on Twitter from within the Jessie J Top Fan Facebook application: 15 points (limit one per day)
· Promote the contest on Twitter from within the Jessie J Top Fan Facebook application: 20 points (limit one per day)
· Complete a Jessie J Quiz within the Jessie J Top Fan Facebook application: 5 points per correct answer (10 questions, can take quiz one (1) time)
· Watch a video within the Jessie J Top Fan Facebook application: 8 points (limit 10 per day)

Tasks and corresponding point awards are subject to change at any time at Sponsor’s discretion. All decisions regarding the awarding of points will be made by an “Official Scorer”, a VEVO representative whose decisions are final and binding on matters relating to the awarding of points in this game. Player point totals will be posted on a leaderboard viewable inside the Jessie J Top Fan Facebook application. Points earned by a player will be updated within 15 minutes (estimated).

Any individual who attempts to register, or in the sole discretion of Sponsor, is suspected of registering more than once by any means, including but not limited to establishing multiple email accounts, will be disqualified from participation in this Contest. In the event of a dispute over the identity of a potential winner, the entry will be declared made by the authorized account holder of the email address submitted at the time of entry, and the potential winner may be required to provide identification sufficient to show that he/she is the authorized account holder of such email address. It is the sole responsibility of the entrant to notify the Sponsor in writing if the entrant changes his/her email or postal address during the Contest Period. Proof of emailing does not constitute proof of delivery or entry. Participants who submit inaccurate registration data may be excluded from participation at any time during the Contest or forfeit points. As a condition of entering the Contest, each winner gives consent for Sponsor to obtain and deliver his or her name, address and/or other information to third parties as necessary for the purpose of administering this Contest and to comply with applicable laws, regulations and rules. Any information entrants provide to Sponsor may be used to communicate with entrant in relation to these Contest. This Contest is in no way sponsored, endorsed or administered by, or associated with, Facebook.

4) Determing and Notifiying POTENTIAL Winners: At the conclusion of the first Prize Period (January 15, 2011 at11:59:59 PM ET) the player occupying the #1 spot on the leaderboard will be known as a potential grand prize winner. A second potential grand prize winner will be determined at the conclusion of the second Prize Period (February 25, 2011 at11:59:59 AM ET). In addition to the grand prize winners, there are tiers of prizes available to players in descending point order. These additional prizes will be awarded based on the final point tabulation at the conclusion of the Contest Period.

The potential winners are subject to eligibility verification and compliance with these Official Rules. Administrator will attempt to notify each potential winner via email within two (2) days of a Prize Period ending using the email address provided at time of registration. Potential grand prize winners will be required to sign and return to Administrator 1) an Affidavit of Eligibility/Liability Release (or, if a Canadian resident, a Declaration of Compliance) including (where lawful) a publicity release and 2) a W9 Tax Form if the potential winner resides in the United States (collectively the “Releases”) for receipt by Administrator within two (2) days of notification. Failure to complete and return the Releases in the time noted or if prize notification is undeliverable will result in disqualification and a runner-up will be notified. Acceptance of a prize constitutes permission for the Sponsor and its designees to use winner and guest’s names and likenesses for advertising and promotional purposes without additional compensation unless prohibited by law. If a prize is won by a Minor, the prize shall be awarded to the Minor’s parent or guardian, who must fill out and sign the Releases on the Minor’s behalf and must also accompany the Minor on the trip as his/her guest (as described below). No more than one (1) Grand Prize will be awarded for each Prize Period. Unclaimed prizes (if any) will not be awarded. Only the number of prizes stated in these Official Rules will be awarded. Limit one (1) prize per person. The Contest Entities are not responsible for and shall not be liable for late, lost, damaged, intercepted, misdirected, or unsuccessful efforts to notify the potential winners, or if potential winner is a Minor, then for late, lost misdirected or unsuccessful efforts of potential winner to provide signed parental or legal guardian consent. For European Union residents, please note that Entrants’ data will be transferred outside the European Union to the United States which may not provide an adequate level of protection according to EU data protection regulations, for the purpose of administering this Contest. We will take all steps reasonably necessary to ensure that your personal information is treated securely and in accordance with VEVO’s Privacy Policy and these Official Rules in respect of such transfer. By entering the Contest, Entrants expressly agree to such transfer.

5) GRAND PRIZES (2): Two (2) Grand Prizes will be awarded – a trip to New York City and a photo opportunity with Jessie J. Each Grand Prize consists of round-trip coach air transportation for the Prize Winner and one (1) guest (or winner’s parent or legal guardian if winner is a Minor) to New York, NY from a single major gateway airport in the U.S., Canada, or, U.K nearest to the Prize Winner’s home (as determined by Sponsor), round-trip transfers from airport to hotel in New York, double occupancy standard hotel accommodations for two (2) nights in New York City, and the opportunity to meet Jessie J for a photo opportunity and $250 (awarded in the form of a check) for winner only. The first grand prize trip will be commence on/about January 26, 2011 with the Jessie J meeting on January 27, 2011. The second grand prize trip will be fulfilled prior to August 1, 2011 subject to Jessie J’s New York schedule. Dates for all trips are to be determined at the sole discretion of Sponsor. Grand Prize Winners may receive less than seven (7) days notice prior to trip departure. If Jessie J’s New York schedule is canceled, rescheduled, or delayed for any reason, or if Prize Winner cannot take the trip to be in New York on a date specified by Sponsor, then Sponsor shall have no further obligation and the Grand Prize winner will be disqualified and an alternate winner selected, time permitting. Specifics of Grand Prize travel package are subject to availability and Sponsor’s sole discretion. Complete terms and conditions of Grand Prize trip will be furnished with prize notification. Travel must be made through Sponsor’s agent on a carrier of Sponsor’s choice. Reservations are subject to availability. Travel restrictions may apply. Prize Winner and guest must travel on the same itinerary and are responsible for obtaining all required travel documents including but not limited to Passports and Visas. Once a travel guest is selected, he/she may not be substituted, except in Sponsor’s sole and absolute discretion. If a Prize Winner resides within a 100 mile radius of New York, NY, ground transportation may be provided for the Prize Winner and guest in lieu of air transportation and no compensation or substitution will be provided for difference in prize value. Guest (unless child of Prize Winner) of the Prize Winner must have reached the age of majority in his or her jurisdiction as of date of travel. The total approximate retail value (“ARV”) of each Grand Prize: Four thousand three hundred fifty dollars ($4,350). Actual value may vary based on each Prize Winner’s place of departure and dates of travel.

SECONDARY PRIZES (1,500 are available): Based on point totals in descending order. Tier 2: A Jessie J “Do It Like A Dude” t-shirt (one size fits all); one hundred (100) are available. Estimated retail value, $8 each. Tier 3: A Jessie J nail polish kit; four hundred (400) are available. Estimated retail value, $4 each. Tier 4: One MP3 download; one thousand (1,000) are available. Estimated retail value, $1 each.
Total ARV of all prizes: $12,100. Prize values are shown as U.S. dollars. Prizes are non-transferable; no substitutions or cash awards allowed, except at the discretion of Sponsor in which case a prize of comparable or greater value will be awarded. If there are fewer entrants than prizes available not all prizes offered will be awarded. ALL PRIZES ARE AWARDED “AS IS” AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED (INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE). All applicable federal, state, local, provincial, or other tax liabilities (if any) are the responsibility of the Prize Winners, including, if a Grand Prize winner, any other expenses relating to acceptance of Grand Prize not explicitly stated herein, including, but not limited to, additional ground transportation, luggage fees, meals, beverages, alcoholic beverages, and gratuities. Sponsor shall have no responsibility or obligation to any winner or potential winnerwho is unable or unavailable to accept or utilize any prize as described herein.All details of any prize not specified herein shall be determined solely by Sponsor.

6) Travel Guest Liability AND Publicity Release: A Prize Winner’s guest must be the age of majority in his/her jurisdiction of residence (unless travel companion is the child of the Prize Winner). If Prize Winner is under the age of majority in his/her jurisdiction, then he/she must be accompanied by his/her parent or legal guardian and such parent or legal guardian must sign and timely return the Releases on the Minor’s behalf. Prize Winner's guest (or Prize Winner if guest is the child of the Prize Winner and under the age of majority in his/her state of residence) must complete, execute and return a Travel Guest Liability Waiver, a Travel Guest Publicity Release (collectively, the "Travel Guest Release Form") prior to issuance of travel documents. Contest Entities shall not have any responsibility or liability whatsoever for any property loss, damage, personal injury, or death, in connection with any person’s participation in the Contest or any prize awarded herein.

7) CONDUCT: This Contest is subject to all country, federal, state and local laws/regulations. These Official Rules are accessible from the Website throughout the Contest Period. Failure to comply with these Official Rules may result in disqualification. Sponsor reserves the right, in its sole discretion, to disqualify any individual suspected of tampering with the entry process or the operation of the Contest; to have used a software generated, robotic, programmed, script, macro or other automated entry; or to be acting in any manner deemed by Sponsor to be in violation of the Official Rules; or to be acting in any manner deemed by Sponsor to be illegal, unsportsmanlike or disruptive, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY A USER OR ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND COSTS (INCLUDING WITHOUT LIMITATION, ATTORNEYS’ FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

8) LIMITATIONS OF LIABILITY: Contest Entities assume no responsibility or liability for (a) any incorrect or inaccurate entry information, or for any late, lost, damaged, intercepted, misdirected, faulty, failed, or garbled registrations, points or jumbled electronic data transmissions; (b) any unauthorized access to, or theft, destruction or alteration of entries or points at any point in the operation of this Contest; (c) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, including point tabulation, regardless of cause, with regard to any equipment, systems, networks, Internet Service Provider (ISP), lines, satellites, servers, computers or providers utilized in any aspect of the operation of the Contest; (d) inaccessibility or unavailability of the Internet or any combination thereof, or; (e) any injury or damage to participant’s or to any other person's electronic device which may be related to or resulting from any attempt to participate in the Contest or download any materials in the Contest. If, for any reason, the Contest is not capable of running as planned for reasons which may include without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, then Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Contest in whole or in part. Should this Contest be terminated, Sponsor reserves the right to select potential winner(s) from among all eligible, non-suspect entries and points received as of the action requiring such termination.

9) ENTRANT RELEASES: All entrants, as a condition of entry into the Contest, agree to release, discharge, and hold harmless Contest Entities, and their respective parents, subsidiaries, affiliates, divisions, distributors, suppliers, printers, application developers, distributors and advertising, promotional or judging agencies, Facebook, Inc. and all of their respective officers, directors, employees, representatives, and agents (collectively, “Released Parties”) from and against any and all liability, claims, costs, or actions of any kind whatsoever for injuries, damages, or losses to persons or property which may be sustained in connection with accessing the Website; submitting an entry or otherwise participating in any aspect of the Contest; the receipt, ownership or use of any prize awarded; preparing for, participating in or traveling to and/or from any prize-related activity, or any typographical or other error in these Official Rules or the announcement of offering of any prize. Except for residents of Tennessee and where prohibited by law, Prize Winner grants to Sponsor the right to print, publish, broadcast and use worldwide in any media now known or hereinafter known and without limitation the Prize Winner’s name, state of residence, voice, statement, picture or other likeness, without additional compensation, for public relations, advertising and promotional purposes as may be determined by Sponsor.

10) GOVERNING LAW / LIMITATION OF LIABILITY: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of entrants, Sponsor or the Contest Entities in connection with the Contest will be governed by and construed in accordance with the internal laws of the State of California, without giving effect to any conflict of law rules or provisions that would cause the application of any other state’s laws.
