According to the 'Stay withh BAA' defence document against the takeover bid by Ferrovial Consortium, shareholders are to get a 40% increase in 2006/07 dividend, a further 7% in 2007/08 and a £750 million return of capital.
Would the shareholders have received these benefits without the takeover bid? I doubt it.

Companies will go to great lengths to prevent unfriendly takeovers. You are right, BAA would not have hiked the dividend if there was no takeover.
Look at what Arcelor have done today to make sure Mittal can not get his hands on the company!
Looks like Arcelor 1 - 0 Mittal :T0
