If I hold X shares in a UK plc and I don't have a share certificate and they are not held in uncertificated form, what do I need to prove to a broker to be able to sell them - I am on the co books but they never sent me a cert and now want to charge me a relative packet for the privilege - what evidence will a broker want of ownership of the shares - will they just take my word and cross check with registrar or do I have to provide them with something affirmative ?

Unfortunately you will have to provide the broker with either a certificate or a letter of indemnity. You can get a replacement certificate or letter of indemnity from the company registrar but there will be a charge for these. IIRC, it's about £20 for the letter of indemnity and a similar fee for a countersignature. If the shares are not worth very much, then depending on who you speak to at the Registrars, you can sometimes get the fees waived!I have the mind of a criminal genius. I keep it in the freezer next to Mother....0

I'll just draft them a deed of indemnity then..... - easy enough and no chance I'll be paying the company/registrars for the privilege of sending me their precedent.
