Buying the freehold on my flat

The flat i own was originally a 3 bed house converted to 2 flats, 1 bed upstairs, 2 bed downstairs i own the downstairs flat.
The freeholder who was the developer we bought the house from is selling the freehold.
He has offered it to both flats but upstairs doesn't want to buy it but I do.
Is this going to be a problem? as i have read that 'There must be two or more flats in the building. If there are only two flats, both must want to buy the freehold.'
Iv'e appointed a solicitor that I'm going to talk to in a few days but just wanted a heads up and any questions I should maybe ask him

    You can buy the freehold for the whole building. Probably not much money. You the collect ground rent etc from the leaseholder of the other flat. If cheap I would go for it.
