Competition Terms and Conditions
BY ENTERING THE COMPETITION, YOU ARE DEEMED TO HAVE ACCEPTED & AGREED TO THE TERMS & CONDITIONS BELOW, WHETHER ENTERING (i) ONLINE, (ii) VIA MMS, OR (iii) VIA POST. BY ENTERING THIS COMPETITION ONLINE, YOU AGREE TO THE PRIVACY POLICY AND TERMS OF USE, LOCATED AT WWW.WALKERS.CO.UK BY ENTERING THIS COMPETITION, YOU CONSENT TO YOUR ENTRY AND THE PERSONAL INFORMATION COLLECTED FROM YOU IN CONNECTION WITH THIS COMPETITION BEING HELD BY WALKERS SNACKS LIMITED (THE "PROMOTER") FOR THE PURPOSES OF THIS PROMOTION ONLY. NO PURCHASE NECESSARY. OPEN ONLY TO RESIDENTS OF THE UNITED KINGDOM, CHANNEL ISLANDS, ISLE OF MAN AND THE REPUBLIC OF IRELAND WHO ARE 16 OR OVER. SEE BELOW FOR ADDITIONAL ELIGIBILITY RESTRICTIONS.
1. ELIGIBILITY: The following individuals are not eligible: employees, contractors, directors and officers of the Promoter, and its parent, subsidiary and affiliated companies, distributors, web design, advertising, fulfilment, judging and competition agencies involved in the administration, development, fulfilment and execution of this competition and the immediate family members and those living in the same households of each such employee, contractor, director or officer.
2. COMPETITION SCHEDULE: You may submit your chosen flavour of crisps along with your chosen picture of what inspired you (your “Submission”) from 1st July 2008 to midnight Greenwich Mean Time (“GMT”) on 10th October 2008 ("Competition Entry Period"). Submissions received after this date will not be valid. Eligible Submissions will be judged in accordance with these Terms & Conditions. Six finalist Submissions (“Finalists”) will be selected on 20th October 2008. The six Finalist flavours will be developed for manufacture by the Promoter on/around 21st October 2008 until on/around 1st February 2009. The six Finalist flavours will be on sale in the UK, Channel Islands, Isle of Man and Republic of Ireland from on/around 1st February 2009 until on/around 30th April 2009. The public will be able to vote for the “Nation’s Favourite” their favourite flavour from the six Finalist flavours from 1st February 2009 at midnight GMT and voting will take place until 30th April 2009 at midnight GMT (the “Voting Period”). The Grand Prize Winner will be announced on Saturday 2nd May 2009.
3. TO ENTER ONLINE: To enter the Competition, log on to https://www.walkers.co.uk ("Web Site") during the Competition Entry Period and click on the ‘Do Us A Flavour Competition’ link to go to the Competition page. Review the Terms and Conditions, check the box indicating "I Accept the Terms & Conditions of Entry", complete the required fields, including Name, Postal Code and E-mail Address, and click "Submit." When you have successfully registered, click "Upload your flavour suggestion" and follow the instructions to upload your final, edited Submission to the Web Site, including flavour name and a picture of your inspiration. Submissions that do not include all required information and adhere to the foregoing and following requirements will be considered void and will not be considered in the judging of this Competition.
4. TO ENTER VIA POST: To enter the Competition, either download and complete an entry form from https://www.walkers.co.uk (“Entry Form”), or on a separate piece of paper write your name, flavour suggestion, postcode and a contact number (“ Postal Entry”), and send your Entry Form or Postal Entry along with a picture of what inspired you to Walkers ‘Do Us A Flavour’, PO Box 504, Leicester LE94 0AE within the Competition Entry Period, ensuring all sections of the Entry Form are complete and that you have ticked the box confirming you accept the Terms and Conditions of this Competition. Entrants are responsible for paying and applying the appropriate postage for the size of your envelope containing your Submission
5. TO ENTER VIA MMS: By sending your submission via MMS, you agree to these Terms and Conditions.
5.1. UK ONLY: To enter the competition by MMS, simply send us your name, flavour suggestion, postcode and attach the picture of your inspiration to 60001 within the Competition Entry Period (UK only - excludes Republic of Ireland, Channel Islands and Isle of Man).
5.2. ROI, CI & IOM ONLY: To enter the competition by MMS, simply send us your name, flavour suggestion, postcode and attach the picture of your inspiration to entry@walkersflavours.com within the Competition Entry Period.
5.3. All MMS entries will be charged at your standard MMS rate, based on your individual plan. Please check with your service provider for further details. Please note that MMS messages may not be included within your inclusive packages.
6. The Promoter is not responsible for any Submissions that do not arrive within the Competition Entry Period.
7. You may enter as many different Submissions into the Competition as you like, as long as the same (or substantially similar) Submission is not submitted more than once within the Competition Entry Period.
8. WARRANTIES: As conditions of entry into this Competition, and by uploading, sending an MMS or posting a Submission, you:
8.1. Warrant and represent that you own all rights to the Submission, including, without limitation, the flavour name and picture.
8.2. Warrant and represent that your Submission: (a) is original to you and has been legally obtained and created, (b) does not infringe the intellectual property, privacy or publicity rights or any other legal or moral rights of any third party, or violate applicable laws, regulations, or network standards; (c) has not been entered in or won previous competitions or awards; and (d) has not been published previously in any medium.
8.3. Irrevocably assign with full title guarantee to the Promoter and its affiliates, legal representatives, assigns, agents and licensees all rights, title and interest in the Submission, including, with respect to the Competition, your name, likeness, biographical material as well as any additional photographic images, portraits, interviews or other materials relating to you and arising out of your participation in the Competition (“Additional Materials”) in any media throughout the world and without additional review, compensation or approval from you or any other party.
8.4. Forever waive any rights of privacy, intellectual property rights, and any other legal or moral rights that may preclude the Promoter’s use of your Submission or the Additional Materials, or require your permission for the Promoter to use them for any purpose, and agree to never sue or assert any claim against the Promoter’s use of the Submission or the Additional Materials.
8.5. Agree to indemnify and hold the Promoter and its respective affiliates, officers, directors, agents, co-branders or other partners, and any of their employees (collectively, the "Indemnified Persons"), harmless from any and all claims, damages, expenses, costs (including reasonable attorneys' fees) and liabilities (including settlements), brought or asserted by any third party against any of the Indemnified Persons due to or arising out of your Submission or the Additional Materials in this Competition or the Promoter’s use thereof, or your conduct during and in connection with this Competition, including but not limited to any such claims, damages, expenses, costs and liabilities relating to trade mark, copyright, or other intellectual property rights, right of publicity, right of privacy or defamation.
8.6. Agree to release and indemnify and hold harmless the Promoter from any and all claims that any commercial, advertising, presentation, web content or any other material subsequently produced, presented, and/or prepared by or on behalf of the Promoter infringes on the rights of your work as contained in the Submission or the Additional Materials.
8.7. Agree to provide, immediately upon request by the Promoter, full and frank details of the source and origin of your Submission.
9. SUBMISSION CRITERIA: Submissions must comply with the following Terms and Conditions to qualify as a valid Submission:
9.1. Your flavour name must not be an existing Walkers’ or third party’s flavour of crisps, or other savoury snack food. For a full existing Walkers’ flavour list, visit https://www.walkers.co.uk.
9.2. Your Submission must be in English.
9.3. Your Submission must not contain or refer to any branded food or beverage products other than Walkers® crisps; it must not contain or reference any third party names, logos and/or trade marks.
9.4. Your Submission must not use images which are under copyright, unless you are the copyright holder.
9.5. If entering online your picture must not be smaller than 20KB or larger than 10MB and must be in one of the following formats: JPEG, BMP, GIF, PNG
9.6. If entering via MMS your picture must be no bigger than 300KB
9.7. Submissions will be reviewed for content before being judged; however, such review does not relieve you from responsibility for compliance with these Terms and Conditions. Submissions that do not comply with these Terms and Conditions or that otherwise contain prohibited, or inappropriate content as determined by the Promoter, in its sole discretion, will be disqualified and will not be considered eligible. Promoter makes the final determination as to which Submissions are eligible to take part in this Competition and no correspondence will be entered into.
10. JUDGING CRITERIA: In relation to the selection of the six (6) finalist ("Finalist") Submissions, all valid Submissions will be judged against the following judging criteria ("Judging Criteria"):
10.1. The Judging Criteria with respect to the flavour is as follows:
10.1.1. Original and creative
10.1.2. Simple, straightforward and fun
10.1.3. Delicious flavour for Walkers
10.2. The Judging Criteria with respect to the picture is as follows:
10.2.1. Original and creative
11. SELECTION OF FINALISTS: Six (6) Finalist Submissions will be selected by a judging process in which a panel of judges ("Judges") will evaluate each eligible Submission based on the Judging Criteria (defined above). In the event of a tie for the sixth Finalist spot, the tie will be broken based on the Judges’ choice of the best Submission in relation to the first Judging Criterion with respect to both the flavour and the picture, continuing thereafter to each Judging Criterion in order with respect to both the flavour and the picture, as needed to break the tie. All Finalists are subject to verification, including without limitation, verification of eligibility and compliance with these Terms and Conditions. If attempted notification is returned as undeliverable, if a Finalist cannot be verified, or if a Finalist is otherwise unable to accept their status as Finalist, their selection as Finalist will be forfeited and an alternate Finalist may be selected provided sufficient time remains, in Promoter’s sole discretion.
12. SALE OF FINALIST FLAVOURS: The six Finalist flavours will be put into production on/around 21st October 2008 and the flavours will be on sale from on/around 1st February 2009. Sales and distribution of the Finalist flavours by participating retailers cannot be guaranteed by the Promoter. The six (6) Finalists will each receive a prize package including the creation and distribution of their submitted flavour of crisps and an equal level of related promotional support (such level to be determined by the Promoter in its sole discretion) from on/around 1st February 2009 to on/around 30th April 2009. The Promoter cannot be held responsible for any uneven distribution of promotional materials. The Promoter reserves the right to amend the Submission (including the accompanying picture). It is at the Promoter’s sole discretion how much involvement or say the Finalists will have (if any) in the development process or the creation or planning of the pack design or promotional materials and will be required to participate in promotional activities to a reasonable extent. Finalists agree that the Promoter has the sole right to decide all matters and disputes arising from this Competition and that all decisions of Promoter are final and binding. Finalists, by acceptance of the above Finalist prize agree to release, indemnify and hold harmless the Promoter, as well as its respective parent and affiliated companies, and each of their employees, representatives, contractors, advertisers and promoters from any and all liability, loss, damage, cost or claim relating to any allegation regarding the acceptance or use of their prize, their status as Finalist or the Submission itself.
13. VOTING: The six (6) Finalist flavours, in packaging which may or may not feature your picture of inspiration and/or a photograph of you (which may or may not be modified by the Promoter), will be put on sale from on/around 1st February 2009. Members of the public will be invited to vote for their favourite Finalist from midnight GMT on 1st February 2009 and ending at midnight GMT on 30th April 2009 ("Voting Period”). At the close of the Voting Period, the Finalist that receives the most votes will be deemed the overall winner ("Grand Prize Winner"). In the unlikely event that public voting results in a tie, the tied Finalists will be re-judged by the Judges based on the Judging Criteria stated above in relation to the selection of Finalist Submissions. The Grand Prize Winner will be announced on 2 May 2009.
14. The Grand Prize Winner will receive £50,000 (unless the Grand Prize Winner is in the ROI, in which case he/she will receive €64,000 or, if greater, the EURO equivalent of £50,000 as at 2nd May 2009) by cheque made out in their name only on 2nd May 2009, and 1% of net revenue of future sales of the Grand Prize Winner’s flavour crisps sold in the UK, CI, IOM & ROI, paid in arrears by cheque made out in their name only on a monthly basis. The five (5) remaining Finalists will each receive £10,000 (unless they are in the ROI, in which case they will receive the EURO equivalent of £10,000 as at 2nd May 2009) by cheque made out in their name only on 2nd May 2009. The five (5) remaining Finalist flavours may or may not be de-listed from Walkers’ portfolio with effect from 2nd May 2009. Only the Grand Prize Winner will have entitlement to 1% of net revenue of future sales of their Finalist flavour crisps, and only in the UK, CI, IOM & ROI. Should the Grand Prize Winner’s (or any Finalist’s) flavour crisps be sold in any other regions or parts of the world, they will not be entitled to any claim on a percentage of net revenue of sales. The Grand Prize Winner’s right to receive 1% of net revenue of future sales of the Grand Prize Winner Finalist flavour crisps sold in the UK, CI, IOM & ROI will be for as long as the flavour is on sale in the UK, CI, IOM & ROI. If the flavour is de-listed and is later bought back into production the Grand Prize Winner will no longer be entitled to such 1% of net revenue. The prize is personal to the Grand Prize Winner himself/herself and is not transferrable and cannot be sold under any circumstances. The Promoter makes no representations or warranties with respect to the volume or period of sale of the Grand Prize Winner’s flavour of crisps, and the Promoter does not guarantee any minimum sum with respect to the 1% of net revenue of future sales to be paid to the Grand Prize Winner. It is at the Promoter’s sole discretion how long the Grand Prize Winner’s flavour of crisps will stay in production and the Promoter has the right in its sole discretion to withdraw the flavour from production at any time. If the flavour is de-listed and is later bought back into production the Grand Prize Winner will no longer be entitled to such 1% of net revenue.Al Mac Appreciation Society No. 188

15. GENERAL CONDITIONS: All Entrants must be 16 years of age or older, and have a valid ID and home address. No substitution of any prize is offered, except at the sole discretion of the Promoter. Finalists will be notified by phone and/or mail. Notification of Finalist status must be kept confidential until the Finalists are publicly revealed by Promoter or your Finalist prize will be forfeited and your Submission will not be put into production for public voting as a Finalist Submission. If a prize, or any portion thereof, cannot be awarded for any reason due to circumstances outside of the Promoter’s control, Promoter reserves the right to substitute prizes with another prize of equal or greater value. The Promoter reserves the right to carry out reasonable due diligence to confirm eligibility and help ensure that the use of any such person in advertising or publicity for the competition will not bring the Promoter or any of the PepsiCo brands into public disrepute, contempt, scandal or ridicule or reflect unfavourably on the Competition as determined by Promoter in its sole discretion. In the event the Promoter is not satisfied of the above following such due diligence, the Promoter reserves the right at its sole discretion to disqualify any such Finalist and substitute with another Finalist, who may have entered the same flavour.
16. LIMITATIONS OF LIABILITY AND RELEASE: No liability or responsibility is assumed by the Promoter resulting from any individual's participation in or attempt to participate in the Competition or ability or inability to upload or download any information in connection with participating in the Competition. No responsibility or liability is assumed by the Promoter for postal delays, or Submissions lost or damaged in transit, technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of the competition: hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online communication problems; errors or limitations of any Internet service providers, servers, hosts or providers; garbled, jumbled or faulty data transmissions; failure of any e-mail transmissions to be sent or received; lost, late, delayed or intercepted e-mail transmissions; inaccessibility of the Web Site in whole or in part for any reason; traffic congestion on the Internet or the Web Site; unauthorized human or non-human intervention of the operation of the Competition, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, worms; or destruction of any aspect of the Competition, or loss, miscount, misdirection, inaccessibility or unavailability of an email account used in connection with the competition. The Promoter is not responsible for any typographical errors in the announcement of prizes or these Terms and Conditions, or any inaccurate or incorrect data contained on the Web Site. Use of the Web Site is at user's own risk. The Promoter is not responsible for any personal injury or property damage or losses of any kind which may be sustained to user's or any other person's computer equipment resulting from participation in the Competition, use of the Web Site or the download of any information from the Web Site.
17. Ooooh! .btm didnt work for me ...

BUT! The website does say formats should be JPEG, BMP, GIF, PNG ... I'll keep changing it till I find one that works! Or, give up ... whichever comes first!0
