FIAT 500 COMPETITION RULES

1. This competition (the “Competition”) is open to residents of the United Kingdom (“Territory”) aged 18 and over with a valid UK driving licence,except employees of Microsoft Limited (“Microsoft”) and their respective subsidiaries, affiliates, advertising and promotion agencies and their immediate families (defined for the purpose of these rules as husband, wife, mother, father, sister, brother, son, daughter, or persons residing in the household of such employees), and anyone else professionally connected with this Competition. The promoter reserves the right to verify the eligibility of entrants and check their identity. Entrants who are under eighteen must seek their parent or guardian’s permission before entering this competition.

1. Entrants will be deemed to have accepted these terms of service (“Terms”) when they enter this Competition as described in paragraph 4 of these Terms.

How to Enter

1. The Competition will start at 9.00 am Greenwich Mean Time (“GMT”) on 7 January 2008 and end at 5.00pm GMT on 21 January 2008 (the “Competition Period”). No entries received outside the Competition Period will be eligible to win a prize.

1. To be eligible to win a prize, entrants must register at http://www.fiat500mashup.com (the “Website”) and attempt to identify the name of a famous design classic object (“Object”) by clicking on squares that reveal parts of an image of the Object. There are five (5) Objects in the Competition. A new Object will be added to the Website on each of 7, 10, 13, 16 and 19 January 2008. Entrants can submit their guesses of what an Object is via the Website (“Guess”) at any time after that Object has first been displayed on the Website. Entrants may submit as many guesses as they like. Entrants may obtain clues to help them identify the Object by clicking on the bonus clue buttons. For each correct Guess, entrants will be awarded a set of certain key letters (“Key Letters”), which are part of a password (“Password”). Once entrants have identified all the Key Letters that make up the Password, to be eligible to win a prize they must enter the Password where indicated on the Website (“Entry”). Entries may only be submitted once the final Object has been added to the Website on 19 January 2008.

1. No purchase is required to enter the Competition.

1. Entrants may not submit more than one Entry.

1. Entries that are incomplete, defaced or damaged will be deemed invalid. No responsibility will be accepted for Entries lost, delayed or damaged in transmission.

1. If any person is determined to have breached these Terms they will be disqualified. In the event that a Winner is disqualified Microsoft will select an alternative Winner using the process set out at paragraph 11 below.

How to Win

1. Overall Competition Prize Draw: After the completion of the Competition Period one (1) entrant who has inputted the correct Password shall be randomly selected by Microsoft as the winning entry ("Winner"). The prize draw will take place within a week of the closing date of the competition. The Winner will be entitled to a Bossa Nova Fiat 500 white 1.2 Pop, including 12 months road tax (“Prize”), which shall be provided the the Winner by Fiat Group Automobiles UK Limited (“Fiat”). Fiat shall contact the Winner by email or phone to make delivery arrangements. The Prize will be delivered by Fiat to the Winner’s local Fiat dealership for collection. The Winner should allow a reasonable period of time for the delivery of the Prize. All other costs and expenses associated with the collection of the Prize are the responsibility of the winner. The Winner is responsible for the Winner’s own car insurance.

1. No alternatives to the Prize are available and the Prize is non-negotiable, non-transferable and non-refundable. If, for any reason, the vehicle included in the Prize is unavailable or proves inappropriate, Fiat may substitute such vehicle with another vehicle of equal or greater value.

1. The Winner will be notified by Microsoft via telephone within a week of the end of the Competition Period. If the Microsoft is unable to contact the Winner within two weeks of the end of the Competition Period, the Winner will lose his or her entitlement to the Prize and Microsoft shall select another winner (“Alternative Winner”) at random from among the correct Entries. This process shall be repeated until an Alternative Winner has been successfully contacted.

1. The Winner may be required to participate in any reasonable press or PR activity related to the Competition.

1. The identity of the Winner may be obtained by sending a letter to Fiat 500 Competition, Microsoft Limited, Cardinal Place, 100 Victoria Street, London SW1 5JL requesting the identity of the Winner and enclosing a self-addressed envelope.

Privacy

1. The collection of personally identifiable information for the purposes of this Competition will be subject to the Privacy Statement at http://privacy.microsoft.com/en-gb/fullnotice.aspx. Specifically, the data collected through this Competition will be used: in connection with the running of this Competition, including (without limitation) for the purpose of sending an email to entrants to confirm whether the entrant has won a prize or not; and may be shared with Fiat Group Automobiles UK Ltd to enable them to provide entrants with information about Fiat’s products and services. All personally identifiable information held by Microsoft will be deleted approximately six (6) weeks after the end of the Competition Period. The “Fiat 500 Competition” site is hosted by Thin Martian Limited on behalf of Microsoft Limited. By entering this Competition, you expressly consent to the use of your personally identifiable information by Microsoft and Thin Martian Limited in accordance with the Privacy Statement. Microsoft may, with your approval, pass your information onto Fiat for marketing purposes. General

1. If any provision or part of these Terms is deemed void or otherwise unenforceable in law then that provision or part shall be deemed excluded and the remainder of these Terms shall remain in force.

1. These Terms, the conduct of this Competition and the interpretation and enforcement of these terms and conditions shall be exclusively governed and construed in accordance with the laws of England, unless you are a Scottish resident, in which case you may choose the law of your own country of residence. Entrants irrevocably submit to the exclusive jurisdiction of the Courts of England and Wales, unless they are a Scottish resident or a resident of Northern Ireland, in which case they may choose the courts of their place of residence.
