Please read these terms and conditions carefully. These terms and conditions ("Terms") apply to the Premier Foods "OXO Made with XOX” promotion (the " Promotion"). You agree to be legally bound by these Terms by participating in the Promotion, including by: (i) entering online, winning and claiming or sharing a prize with a friend or family member or (ii) receiving a link and claiming the prize shared by a friend or family member.

If there is a conflict in these Terms with any other terms whatsoever attached to any other advertising material in respect of the Promotion, these conditions will take precedence.

The promoter of the Promotion is Premier Foods Group Limited of Premier House, Centrium Business Park, Griffiths Way, St. Albans, Hertfordshire, AL1 2RE (the " Promoter"). Opening and closing dates, eligibility

1. The Promotion will begin at 06:00am on 1 April 2024 and end at 4.59pm on 30 January 2025 (the " Promotional Period"). All entries into the Promotion online must be received by the end of the Promotional Period. The Promoter accepts no responsibility for entries that are lost, delayed, incomplete, corrupted or not received by the end of the Promotional Period for any reason. Proof of submission shall not be deemed to be proof of receipt.
2. The Promotion is open to individual entrants who are residents of the United Kingdom and the Republic of Ireland, aged eighteen (18) years or over. Anyone who is gifted a Prize (defined below) as a result of the Promotion must also be a resident of the United Kingdom or the Republic of Ireland, aged eighteen (18) years or over.
3. The Promotion is not open to, and Prizes may not be claimed by employees, contractors, representatives, agents, officers or directors of the Promoter, its parent companies, subsidiaries, affiliates, marketing agencies, or to any of their immediate family members or persons living in the same household, whether or not related, or to anyone else professionally connected with the Promotion.
4. The Promoter reserves the right to verify the eligibility of any participant or claimant of a Prize. The Promoter may require such information as it considers reasonably necessary for this purpose, which may include identity, age, residency and address. The Promoter may withhold Prizes while it verifies eligibility.
5. Participants will require internet access, a valid email address, residential address and a valid mobile number to enter the Promotion.No purchase is necessary.

How to participate

1. To enter the Promotion, participants must do the following during the Promotion Period:
   1. visit xoxsharethelove.co.uk (the "microsite");
   2. complete the online registration form by entering their name, email address and location into the microsite, where indicated;
   3. click "Submit"; and
   4. click the "Spin" button underneath the slot spinner page to submit your entry.
2. Participants will be notified instantly on screen whether or not they have been successful. If the slot spinner on the microsite shows three hearts then a participant has won a Prize. For the avoidance doubt, the slot spinner does not reflect a participant’s chances of winning, and is just a visual tool for a "winning moments" mechanism described in clauses 8 to 13 below.
3. Prizes are scheduled as "winning moments" in random and pre-determined time slots (day, hour, minute, second) across the Promotional Period. These random time slots have been generated by computer software.
4. There are 829 "winning moments" scheduled during the Promotional Period for the Prizes set out in clause 20 below.
5. Participants will win a Prize (defined below) if they click "Spin" on the microsite at or the soonest after one of the "winning moments". The time at which the participant clicks "Spin" according to the Promoter's systems will be the time used for the "winning moment" mechanism.
6. There is a maximum of one winner for each "winning moment".
7. If two entries are received at the same time, the entry processed by the server first will be the winning entry.
8. If, for any reason, no valid entry is received by the Promoter between one "winning moment" ("first winning moment") and the next ("second winning moment"), the Prize allocated to that "first winning moment" will be rolled over. In this event, the next valid entrant will win the unawarded Prize from the "first winning moment" and the following valid entrant will win the Prize from the "second winning moment".
9. All Prizes have been made available to be won, but the Promoter makes no guarantee that all Prizes will be won and awarded (e.g. if there is low participation). 

Restrictions on Entry

1. There is a limit of 1 (one) entry per household per promotion week during the main Promotional Period (a promotion week runs from 06:00am Monday to 5.59am the following Monday, except for the final promotion week which shall run from 06.00am Monday 27 January 2025 until 4.59pm on Thursday 30 January 2025).
2. Participants who seek to enter more than this limit may be disqualified.  Entries generated by script, macro, mechanical or other automated means are prohibited and will cause disqualification.  Multiple entries made through agents, third parties, organised groups or any entry duplication method will not be accepted.

The Prizes

1. Winners will require internet access, residential address, a valid email address and mobile number to claim their Prize.
2. Winners will be required to input their details into the microsite in order to receive their Prize.
3. The Prize pool shall include Shareable Prizes (see clause 20 below) which winners can share with one friend or relative (a " Claimant"). Winners of Shareable Prizes will receive an email which they can use to forward directly to a Claimant to claim the Shareable Prize. The Prize pool will also include Individual Prizes (see clause 20 below) to be claimed by the winner only.

2. Any Claimant of any Shareable Prizes will have 14 days to claim their Prize from the point of first notification to the winner. If a Shareable Prize is not shared by a winner with any Claimant, or a Claimant does not claim their Prize within such period once a link is shared, then the Shareable Prize shall be delivered to the original winner in full.
3. There is a maximum of one (1) Prize per household in each promotion week of the Promotional Period (see clause 15 for details of the promotion weeks).

Wrap Up Draw

1. After the main Promotional Period there shall be a Wrap Up Draw period running from 5.00pm on 30 January 2025 until 11.59pm on 30 April 2025 (the "Wrap Up Draw Period").
2. The Wrap Up Draw shall be open to any participants who enter during the Wrap Up Draw Period and any participants who have submitted a valid entry during the Promotional Period, but do not win a Prize, and opt-in to enter.
3. On or before Friday, 9 May 2025, the Promoter shall conduct a random prize draw from all valid entries received by the Promoter during the Wrap Up Draw Period for the Prizes available in the Wrap Up Draw (see clause 26 below for details).  
4. The Wrap Up Draw Prize pool shall include (as a minimum):
   1. 1. 13 x pairs of cinema vouchers (UK-based winners will receive a voucher for a single screening of a film at a cinema chain and ROI-based winners will receive a €15 gift card for a cinema chain in ROI);
      2. 1 x pair of seasonal letterbox flower bouquets;
      3. 1 x pair gourmet chocolate selection boxes;
      4. 1 x pair of OXO branded red bowls and product pack (each prize includes an OXO branded ceramic porcelite 16cm bowl and a 12 pack of OXO beef stock cubes);
      5. 1 x pair of OXO gift boxes (each prize includes an OXO branded ceramic porcelite 16cm bowl and standard 4 packs of OXO stock pots including chicken, original beef, red wine and vegetable flavours);
      6. 1 x spa vouchers (UK-based winners will win a spa voucher via Virgin Experiences for Bannatyne Health Clubs worth £190 and ROI based winners will receive a spa voucher valid at spas.ie worth €220);

5. There may be other Prizes available to be won if and to the extent that other Prizes aren't claimed through the main part of the Promotion for any reason. The Prizes within the Wrap Up Draw Prize pool are not shareable and will be won by, and delivered to, the winner directly.
6. There shall be a maximum of one (1) entry per household per week during the Wrap Up Draw Period and a maximum of one (1) Prize per household in the Wrap Up Draw.

Prizes – Generally

1. Winners and any Claimant (if applicable) receiving the cinema vouchers in the UK, the gourmet chocolates, the flower bouquet, the OXO branded bowls and product pack and the OXO gift box will each receive their Prize via the email or delivery address (as applicable) provided via the microsite.
2. Winners of the spa vouchers or restaurant gift card will each receive their Prize via the email address provided via the microsite.
3. Winners and any Claimant (if applicable) of the cinema vouchers in the Republic of Ireland will be contacted by the Promoter’s agency, HRG, to arrange fulfilment and delivery of their Prize. Further details of this Prize will be confirmed when the Winners and/or the Claimant are contacted.
4. It is the responsibility of the Winner and the Claimant (if applicable) to provide accurate, up-to-date details. The Promoter cannot be held responsible for any Winner or Claimant failing to supply accurate information which then affects the acceptance or fulfilment of their Prize. 
5. Any gift cards or vouchers are subject to and must be used in accordance with specific retailer terms and conditions and may be subject to limitations on use and expiry dates. The gift cards or vouchers are not valid on prior purchases and cannot be used to purchase third party gift cards or vouchers.
6. This Promotion is not affiliated with, or endorsed by, any third party retailer or gift card / voucher provider.
7. Lost or stolen gift cards or vouchers cannot be replaced. 
8. Any issues relating to the Prizes should be directed to the Promoter at premierfoods@altavia-hrg.com.
9. The Promoter accepts no responsibility for any inability of a Winner or a Claimant (if applicable) to take up the Prize.
10. The Prizes cannot be sold, transferred or auctioned.  Prizes are non-transferable and non-refundable.  There is no cash or other alternative, except in circumstances outside the Promoter's control, where the Promoter has the discretion to replace the Prize with an alternative of equal or higher value.
11. All Prizes exclude travel, excursions, attractions, treatments, car hire and personal expenses (except where stated) and anything not expressly included in the Prize. All Prizes are subject to availability at the time of booking.
12. Reasonable efforts will be made to contact the Winners and Claimants (if applicable). If a Prize is declined, the Winner or Claimant (if applicable) cannot take up the Prize, the Winner (excluding a Claimant) fails to claim the Prize as required by these Terms or is not eligible for the Prize or has not complied with these Terms, that Prize will be forfeited. If this occurs in the main Promotional Period such Prize shall be added to the Prize pool for the Wrap Up Draw, and if this occurs during the Wrap Up Draw Period a replacement winner may be drawn at the Promoter’s sole discretion. These Terms will apply to any replacement winner. Please note, however, that if a Shareable Prize is claimed by a Winner but not shared with any Claimant, or a Claimant does not claim their Prize as required by these Terms, then the Shareable Prize shall be delivered to the Winner in full.

General

1. To obtain the name and location of the Winners, please email premierfoods@altavia-hrg.com within 3 months of the end of the Promotion.  Entrants can object to disclosure or request that disclosure be limited in scope by contacting the Promoter.  The Promoter may nevertheless disclose the information to the Advertising Standards Authority if required.
2. The Promoter reserves the right to refuse any entry, claim or award of Prizes and/or refuse further participation in the Promotion and disqualify the participant and/or the Winner or a Claimant where it believes there has been a breach of these Terms, the spirit of the promotion, any instructions forming part of this Promotion's entry requirements or otherwise where a participant has gained unfair advantage in participating or claimed using fraudulent means.  The Promoter's decision will be final in this regard.
3. Any claims made after the latest specified times for making a claim will be deemed as invalid.
4. Entries and claims which do not include all of the information required will also be deemed as invalid.
5. Entries and claims that are not submitted in accordance with these Terms or are incomplete, illegible or lost, delayed, damaged or rendered invalid in any way will be disqualified.
6. The Promoter accepts no responsibility for entries or claims that are late, incomplete, incorrectly submitted, corrupted or misdirected, whether due to error, omission, alteration, tampering, deletion, theft, destruction, transmission interruption, communications failure or otherwise. 
7. Any decision of the Promoter is final and no correspondence will be entered into.
8. The Promoter reserves the right to delay, postpone or cancel the Promotion and/or amend or alter these Terms in the event of circumstances outside its reasonable control, which it considers make it necessary for it to do so.
9. The Promoter accepts no responsibility or liability for (a) any codes, entries or notifications which are not received due to the use of incorrect or inaccurate entry information, any faulty or failed electronic data transmissions, or for any other reason; (b) any unauthorised access to, or theft, destruction or alteration of entries at any point in the operation of the Promotion; (c) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, computers or providers used in any aspect of the operation of the Promotion; (d) inaccessibility or unavailability of any network or wireless service, the Internet and/or any website; or (e) any injury or damage to any person’s computer(s) or mobile device(s) which may be related to or result from any attempt to participate in the Promotion or to download any materials in connection with the Promotion.
10. The Promoter will award the Prizes as described in these Terms, but the Promoter accepts no responsibility or liability for the Winner’s or Claimant’s use of the Prize.
11. If any of these clauses should be determined to be illegal, invalid or otherwise unenforceable then it shall be severed and deleted from these Terms and the remaining clauses shall survive and remain in full force and effect.
12. Any personal information supplied in connection with the Promotion will be used, shared and retained as set out in the Privacy Notice of the Promoter posted at xoxsharethelove.co.uk/privacy.
13. The Promotion and these Terms (including any non-contractual disputes or claims arising out of them) are subject to English law.  Any disputes must be referred to the English and Welsh courts.  Consumers in Scotland, Northern Ireland and the Republic of Ireland may additionally bring an action in their home courts.
