    Basic info:-

I developed some software ( they own it , I dont ) for a company that they have been running for 18months. The MD has suddenly decided that he thinks some bits we agreed informally have not been done and that he wants them doing or he may sue me for losses. There was no written or signed agreement between us, the company is doing VERY well and I just feel he wants to free software for nothing so by threatening a one and band he will get it

Was there a specification? Like any form of building, physical or virtual, it will come down to the specification agreed (verbally or otherwise).

Do you have notes of the conversation and do they? Notes taken at the time can be used to indicate what the bargain was.

Written agreements are just good practice to avoid disputes, or are in place where the legislation requires. Otherwise it is just down to the meeting of minds (plus consideration if in England & Wales).

LegalBeagles is the best place to go for an answer but work on deciding what was actually agreed between the parties from the notes or recollections. Avoid court.
Unlike some here, I am not omniscient. If I am wrong correct me. I won't take offence.
