Share Incentive Plan-Definition of Retirement?

Partner aged 54 looking to retire in next 12 months or so & currently in an employee Share Incentive Plan.
Struggling to gain a definition of 'good leaver' under Share Incentive Plan as it maybe she won't need to draw her pension but doesn't have any intention of taking up alternative employment.
This is key due to the tax treatment of shares within the SIP.
Is there any definitive definition of retirement?
