It is unlikely they would sue in the field I am in. Also, my new role does not include the area I had the 'performance' issue in.

I agree that they can decide if the warning comes off my record or not. I don't think they are trying to be sadistic though but it is all done by the book to an extreme level.
I don't know any company however that would even do a compromise agreement.

What area/level do you work in?

I was suggested one by the employer as a positive outcome for both parties...

I have always worked in accounts (not in work now) and I know all the companies that I have worked for would never do that. Not that I have ever needed to ask as never left or been fired or had a warning or anything. Just saying if someone where I worked had warnings etc they would let them leave if they wanted and write any reference saying the truth and if asked about warnings if they were still 'on file' they would mention them.

Well the point I hope to get to is if the warning is not 'on file' then if asked they do not need to mention it...

Also, my role is extremely wide ranging in 'management' so it is not an awful reflection that I struggled in one area. In fact, really, I should have been given more support in it but there was no time (rather than money).
