should employees be consulted prior to this happening - if so how long before a transfer takes place?

You might want to go into more detail if you want a more specific answer to your question, however, for what it's worth, in my experience, yes, there is generally a consultation period.

But in real terms, not a lot happens during this period, and it has naff all significance (at employee level that is; on the other hand if a Union is involved, then there may well be all sorts of negotiations going on behind the scenes).

If TUPE applies, you transfer (unless you choose to resign). After transfer, the hardest thing to deal with is answering the phone with another company name. Further down the line, your terms and conditions may be changed, but they may have been changed with your previous employer anyway.

TUPE is an absolute minefield, but in very very basic terms what it means is that if you have a job you are entitled to keep it even if your employer sells/loses/transfers the business to another organisation, and at the point of transfer your terms and conditions will remain the same (although there are certain exceptions to that).
