Help? Legal term for an offer in a letter??????

Hi,
When making an offer to pay back x amount (i.e. a settlement?) what is the term that is put in to those letters - so that if it went to court I wouldn't be held to the amount I offered????
So it's a conditional offer now, but I am not held to it at a later date? Or in a court of law?
I'm sure there is a simple phrase but I can't think of it - and haven't been able to google anything to get it to come up
