    You need to know exactly what you're paying for as that's a heckuva lot of money to shell out.

    I'd ring Business Debtline for free impartial advice before you sign anything.

    We owe hmrc 99 thousand and they have issued us with a warning of winding up notice.
    Should i let them go ahead or pay a ip - i have been quoted 8 thousand
    if its the same outcome - should i just wait for hmrc to do it

    please please help
    not sure??/ - it's my business partner that wants to use them and has offered to pay - but I'm worried they will then be working for him rather than us as he is planning to re open the company with out debts

    In case the OP is still reading posts I'd say if you're happy to go into liquidation and don't want to use administration to try and turn things around then you might as well let HMRC wind you up.

    Just a note of warning about your partner wanting to restart the business without the debts - make sure you don't remove anything with a value from the current business without paying the liquidator for it or you might fall foul of sections 206-210 Insolvency Act 1986.

    Also if you're going to start a new company up don't use the same/similar name or you'll get in trouble with section 216, designed to deal with pheonix companies (although there are several exceptions that will let you do this including paying the IP for the old companies good will).
