Are you a Director named at Companies House? If so you have a legal duty to be informed and aware of the company's finances and financial transactions - you're liable if there is any wrongdoing! What kind of shares do you have? If they were gifted, then quite likely they are non voting.

The company doesn't have to pay out dividends, it can reinvest or retain cash. Do you have access to the company accounts?

Yes, I am a director at companies house. The Shares were 'gifted' to me 4 years ago now. I think i'm going to wait till they file the accounts for 08-09 and see who / what dividends were paid. Or if they were paid for that matter. Even so, the chairman takes the lot out anyway, or whatever is left. I feel very much left in the dark here. Think i might take a look at companies house website and see where i stand.

You'll need to check the Annual Return filed at Companies House to ensure that you have the same class of shares - he might have preference shares which may get any dividends paid first.
